OPC Energy Ltd., a Subsidiary of Kenon Holdings Ltd., Announces the Filing of a Petition with the Court in respect of the Israel Electric Corporation's Cancellation of the Tender for the Eshkol Acquisition

Singapore, August 10, 2023. Kenn Holdings Ltd. it (NYSE: KEN) ("Kenn") subsidiary OPC Energy Ltd. ("OPC") announced on June 18, 2023 that a third party (a orporation controlled by Dalla Energy Companies Ld.) was decard the sepaisition of the "Eshkol" power plant (the "Tender"), with an offer of NS 12.4 billion (apposimately S.S. billion) and that the special purpose corporation over Plans Ltd. (an 80% subsition of OPC) and a corporation held by the Noy Fund ("OPC Essked the second qualifier, with an offer of NIS 7.1 billion (approximately \$2.0 billion).

OPC annomeed on bly 19, 2023 that the Increation (the "IEC") cancelled to conduct a new competitive procedure between the bidders who participated in the Tender (and which, a report published by the IEC, will nclude on mimum bid price of NS 9 billion). In the July 19, 2023 announcement, OPC indicated that it objected to the cacelation of the competive procedure decided by the IEC, and that it believed there steps were unlawful. OPC also annomed than in the of OPC and its lead advisors, since the winning hidd to neet its obligation to realize its winning bid in accordance with is organise with is organised as part of the Tender, the IEC was required to declare the second qualifier (being OPC Eshkol) as the winner in the Tender.

Today, OPC announces that on August 9, 2023 OPC Estin to the Tel Ariv Administrative Court report reporting remeilation of the decision by the Tenter committee to cancel the Tender"; (b) to instruct the Tenter committee to sell the Eshkol power plant only by way of the Teacher (c) to declare tur OPC Echkol, wind was declared a "second qualifier", is the Tenter; and (1) to require the IEC o engage with OPC Esikol pover plant. OPC's announcenent sets forth grounds for the persion to careel the Tender is contrary to law and that since the tine the time the time the time the time the timely the was origina the winning bider has withdawn its birding bider under the winning bideer under the law and considerations of fairmess and equity. OPC luther requested that the third party that was originally declared the winning to participate in any further processes with respect to the purchase of the Eshkol power plant.

Simulanewsly with the submission of the petition of the anotion for an order delaving any actions the resolution of OPC Estikol's petition. The Tel Aviv Administrative Court set a date of August 20, 2023 for the parties in respect of the motion for the order, which is the same dates of bids in the submission of bids under the IEC's new competitive procedure.
