ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 9, 2024, Alexis Borisy, a member of the Board of Directors (the "Board") of OPKO Health, Inc. (the "Company"), and a member of Compensation Committee of the Board, informed the Board that he does not intend to stand for reelection at the Company's 2024 Annual Meeting of Stockholders. Accordingly, Mr. Borisy's service as a member of the Board will cease at the Company's 2024 Annual Meeting of Stockholders scheduled to be held on March 28, 2024, at which time the Board will be reduced to 11 members. Mr. Borisy's decision not to stand for reelection is not a result of any disagreement with the Company.
