Item 8.01 Other Events.

On Wednesday May 8th 2024, the Company's Board of Directors declared a cash dividend on its common stock (the "Common Stock") in the amount of \$0.13 per share (the "Dividend"). The Dividend will be payable in cash on June 28, 2024 to holders of record of the Common Stock as of June 17, 2024.
