## **ICL Announces Results of Public Offering of Additional Series G Debentures in Israel**

ICL Group Ltd. (the "Company") announced today, further to its announcement from May 20, 2025 of the results of the classified investor tender for early commitments to purchase Series G Debentures, that it has concluded the public tender for the expansion of its existing Series G Debentures offering in Israel. Based on the results of the public tender in Israel, the Company expects to issue in the offering an aggregate principal amount of NIS 850 million (approximately \$236 million) Series G Debentures, at a price of NIS 834 (approximately \$231) per each unit of 1,000 Series G Debentures and for total gross proceeds of approximately NIS 708.9 million (approximately \$197 million). The Series G Debentures will be sold in the offering at a discount rate of 17.56%, and the weighted discount rate for the entire series of Series G Debentures is 8.66645%. The Series G Debentures will be listed for trading on the Tel Aviv Stock Exchange.

The offering was made pursuant to the Company's shelf offering report filed in Israel on May 25, 2025, in connection with a takedown from the Company's Israeli shelf prospectus dated February 28, 2022 (as extended).

Following completion of the offering, an aggregate principal amount of NIS 1,570.3878 million (approximately \$436 million ( Series G Debentures will be issued and outstanding.

U.S. dollar translations of NIS amounts presented in this announcement are translated using the rate of NIS 3.603 to \$1.00, the exchange rate reported by the Bank of Israel on May 23, 2025.

איי.סי.אל גרופ בע"מ )"**החברה** "( מודיעה בזאת, בהמשך לדיווח החברה מיום 20 במאי 2025 )אסמכתא מספר: 2025-02- 035559( בדבר תוצאות המכרז לקבלת התחייבויות מוקדמות ממשקיעים מסווגים להרחבת סדרת אגרות החוב )סדרה ז'( של החברה )"**אגרות החוב**"(, על תוצאות ההנפקה להרחבת הסדרה כאמור, על פי דוח הצעת מדף של החברה מיום 25 במאי 2025 )אסמכתא מספר: 2025-02-036600(, שפורסם על-פי תשקיף המדף של החברה הנושא תאריך 28 בפברואר 2022 )"**דוח הצעת המדף**" ו-" **תשקיף המדף**", בהתאמה(, כדלקמן:

- .1 על פי דוח הצעת המדף, הציעה החברה לציבור עד 957,845,000 ש"ח ע.נ. אגרות חוב, רשומות על שם, בנות 1 ש"ח ע.נ. כל אחת )בכפוף להגבלת הכמות שנקבעה בסעיף 1.5 לדוח הצעת המדף, לפיה הכמות שתונפק בפועל תהיה עד 850,000,000 ש"ח ע.נ. אגרות חוב(.
	- .2 אגרות החוב אינן צמודות למדד או למטבע כלשהו.
- .3 אגרות החוב הוצעו לציבור ביחידות, כאשר כל יחידה במסגרת המכרז, כללה 1,000 ש"ח ע.נ. אגרות חוב )"**היחידות**"(.
- .4 אגרות החוב הוצעו לציבור בדרך של הצעה אחידה במכרז על מחיר היחידה )כהגדרת מונח זה להלן(, אשר לא פחת ממחיר של 834 ש"ח ליחידה, בהתאם לתנאי המכרז )" **המכרז**"(.
	- .5 הצעת אגרות החוב לא הובטחה בחיתום.
- .6 משקיעים מסווגים התחייבו בהתחייבויות מוקדמת להגיש בקשות לרכישת 850,000 יחידות וזאת בכמויות ושיעורי ריבית כמפורט בדוח הצעת המדף.
- .7 רשימת החתימות לרכישת אגרות החוב שהוצעו לציבור נפתחה ביום א', 25 במאי 2025 ונסגרה באותו היום. מחיר היחידה אשר נקבע במכרז הינו 834 ש"ח )"**המחיר ליחידה**"(.
- .8 במסגרת המכרז התקבלו בסך הכל 81 הזמנות לרכישת 850,000 יחידות )כולן ממשקיעים מסווגים( )"**ההזמנות**"( בהיקף כספי של 708,900,000 ש"ח.
	- )i )74 הזמנות לרכישת 817,129 יחידות שנקבו במחיר גבוה מהמחיר ליחידה נענו במלואן.
		- )ii )7 הזמנות לרכישת 32,871 יחידות שנקבו במחיר שווה למחיר ליחידה נענו במלואן.
			- )iii )לא התקבלו הזמנות מהציבור.
- .9 בהמשך לסעיף 5.1 לדוח הצעת המדף, שיעור הניכיון בהרחבה הנוכחית של אגרות החוב עומד על % 17.56 ושיעור הניכיון המשוכלל לכל סדרת אגרות החוב עומד על % .8.66645
	- .10 בסך הכל יוקצו 850,000 יחידות בתמורה כספית כוללת )ברוטו( של 708,900,000 ש"ח.
- .11 לאחר הרחבת הסדרה כאמור לעיל, היקפה הכולל של סדרת אגרות החוב )סדרה ז'( הינו 1,570,387,800 ש"ח ע.נ.
