Al 31 maggio 2025, la Posizione Finanziaria Netta della Società si attesta a -4.875 migliaia di euro, in miglioramento di 1.072 migliaia di euro rispetto al saldo negativo di -5.947 migliaia di euro registrato al 31 dicembre 2024 e di euro 370 migliaia rispetto al dato al 30.04.2025 (-5.245). Il miglioramento della PFN è principalmente riconducibile all'incremento delle disponibilità liquide e dei crediti finanziari correnti, a fronte di un contenuto aumento del debito a breve termine e una riduzione del debito a medio-lungo termine.

Le disponibilità liquide sono aumentate significativamente da €208,6 migliaia a €371 migliaia (+€162 migliaia), riflettendo una maggiore capacità di generare cassa nel periodo (anche e

soprattutto per gli incassi da crediti pregressi e i flussi positivi derivanti dall'attività operativa). Il dato al 30/04 rilevava un ammontare di disponibilità liquide pari ad €382 migliaia sostanzialmente in linea con il dato al 31/05 il che segnala la tenuta del cash flow dell'azienda.

I crediti finanziari correnti crescono anch'essi in modo rilevante, passando da €775,3 migliaia a €1.473,2 migliaia (+€698 migliaia). Tale incremento è ascrivibile al maggior credito verso CLG Capital LLC a seguito dell'esercizio della IV tranche del CB avvenuto ad inizio anno.

Di contro, i titoli destinati alla vendita si riducono di circa €83 migliaia, da €209,0 migliaia a €136 migliaia, a causa della vendita parziale dei titoli avvenuto durante i primi mesi dell'anno.

L'indebitamento finanziario corrente aumenta da €2.240 migliaia a €2.591 migliaia, per effetto delle rate scadute e non saldate dei piani di mutuo in essere post chiusura delle moratorie; le stesse rientreranno nelle negoziazioni in essere con l'avvio del procedimento di CNC. I debiti IFRS 16 restano invariati.

Sul fronte dell'indebitamento non corrente, si registra invece una riduzione complessiva di €635 migliaia frutto del combinato disposto dato dalla riduzione di €510 migliaia di debiti bancari a medio/lungo termine a causa di quanto sopra indicato, ovvero "spostamento" della quota a m/l termine a debito corrente, per effetto della fine della sospensione (c.d. moratoria) dei mutui, e di una riduzione di €125 migliaia nei debiti per obbligazioni convertibili, determinato dalle conversioni avvenute nei primi mesi dell'anno al netto delle nuove emissioni.

In sintesi la struttura della PFN evidenzia una diminuzione dell'indebitamento netto per circa €1.072 migliaia, segno di un rafforzamento della posizione di liquidità e della capacità dell'azienda di gestire il proprio profilo finanziario in modo dinamico e coerente con le esigenze operative e strategiche.

Nonostante l'aumento dell'indebitamento a breve termine, la significativa crescita della componente liquida e la riduzione dell'indebitamento strutturale (a lungo termine) indicano un miglioramento del profilo di rischio finanziario nel periodo considerato.

Preme sottolineare che tutto quanto sopra indicato non riflette ancora in nessun modo gli esiti delle trattative ed interlocuzioni in fase iniziale per l'avvio del procedimento di CNC che potrebbero portare "falcidie" e stralci nonché ristrutturazioni ed allungamenti dei piani debitori in essere con i vari Istituti finanziari.

La posizione finanziaria netta corrente è negativa per euro 1,1 milioni, in miglioramento di 0,4 milioni rispetto alla situazione al 31 dicembre 2024 per effetto della diminuzione del debito verso il Cofiloisir da parte della controllata Mondo tv France, e per effetto di tutto quanto sopra significato per la capogruppo Mondo Tv SpA.

La posizione finanziaria netta non corrente è negativa per euro 4,3 milioni, con un decremento dell'indebitamento di 0,6 milioni per effetto delle conversioni intervenute nel periodo delle obbligazioni emesse in relazione al POC non standard in essere con Clg Capital e della diminuzione del debito bancario della capogruppo.

L'esposizione complessiva (corrente e non corrente) verso il sistema bancario migliora di euro 0,2 milioni nei 5 mesi.

Le posizioni debitorie scadute si riferiscono principalmente a debiti commerciali e debiti tributari.

Per quello che concerne i debiti commerciali lo scaduto 0-30 gg e 31-60gg rientra nella normale operatività dell'azienda ed è rappresentato da posizioni gestite comunque con pagamenti suddivisi in più tranches e assolutamente in via bonaria.

Si precisa inoltre che nel range dei debiti scaduti da oltre 120gg sono ricompresi debiti per i quali erano stati negoziati dei piani di rientro le cui rate non sono poi state pagate secondo i termini pattuiti e comunque tutti gestiti ancora in via bonaria.

Per quanto riguarda le iniziative dei creditori si segnala che i solleciti ricevuti rientrano nella normale operatività amministrativa. Alla data del 31.05 risultano pervenuti n. 4 decreti ingiuntivi per uno dei quali i nostri legali hanno già raggiunto un accordo stragiudiziale a saldo e stralcio (a seguito nostra opposizione); per gli altri ricevuti più recentemente, ferma restando la nostra opposizione, sono state avviate attività di interlocuzione al fine di addivenire ad un medesimo accordo di composizione bonaria. Non sono state effettuate inoltre sospensioni nelle forniture dei servizi tali da compromettere la normale operatività aziendale.

Si segnala altresì che il procedimento intrapreso di CNC permetterebbe alla nostra azienda di avvalersi delle misure protettive che renderebbero inopponibili altresì anche eventuali decreti ingiuntivi, nonché sospendere temporaneamente l'esecutività di azioni esecutive e cautelari da parte dei creditori. Ad oggi la società non ha ancora richiesto l'accesso a queste misure.

Per quanto concerne i debiti tributari scaduti della capogruppo nel range dei debiti scaduti da meno di 30 gg sono ricompresi prevalentemente due piani di adesione concordati con l'Agenza delle Entrate il cui mancato pagamento ha comportato il decadimento delle relative rateazioni (gli stessi importi verranno poi iscritti a ruolo da parte dell'Ade). Nello stesso range sono inoltre incluse le ritenute irpef (1001) le addizionali regionali nonché le ritenute d'acconto dei professionisti (1040) oltre alle ritenute sulle liquidazioni del TFR (1012) del mese di aprile.

Nei debiti tributari periodo 31-60gg sono ricompresi ulteriori accordi di adesione con l'Agenzia delle Entrate decaduti (anche questi saranno oggetto di iscrizione a ruolo), nonché ritenute irpef dipendenti e professionisti (1001 e 1040) del mese di marzo.

I debiti tributari rientranti nelle fasce 60-90 comprendono le trattenute irpef sia dipendenti che professionisti (1001 e 1040) del mese di febbraio.

Nel range dei debiti tributari 90-120 gg sono comprese le trattenute irpef dipendenti, addizionali, e ritenute professionisti (codici 1001,3802,3847,3848 e 1040) di dicembre 2024 e gennaio 2025.

I debiti tributari scaduti da oltre 120gg comprendono, oltre ad un ulteriore piano di adesione con l'AdE decaduto (relativo ad un accertamento sull'anno fiscale 2017), anche tutte le trattenute irpef dipendenti e professionisti del 2023 e 2024 (per le quali non sono ancora state notificate le relative cartelle di pagamento).

Ovviamente anche in questo caso i debiti tributari saranno oggetto di negoziazione nell'ambito del procedimento di CNC intrapreso, nell'ambito delle quali la Società auspica di ottenere falcidie nonché rinegoziazioni nelle tempistiche di pagamento.

Nei debiti previdenziali scaduti da meno di 30 gg sono inclusi i contributi dei collaboratori e dipendenti del mese di aprile (il cui pagamento è stato regolarizzato nel successivo mese di giugno), nel range 30-60 gg rientrano i contributi del mese di marzo, nel range 60-90gg i contributi del mese di febbraio. Nel range 90-120 gg rientrano invece i contributi del mese di gennaio 2025 mentre nei debiti scaduti da oltre 120gg rientrano i contributi dipendenti del mese di novembre e dicembre 2024. Si segnala che ai fini della regolarizzazione del debito verso l'Istituto Previdenziale, è stata presentata richiesta di dilazione del debito in 24 mesi dei debiti da novembre a marzo. Le mensilità successive saranno oggetto di pagamento tramite utilizzo in compensazione orizzontale del credito iva certificato relativo alla Dichiarazione IVA 2024.

Anche il debito verso Inail è stato regolarizzato nel mese di giugno.

Tutto ciò detto alla luce di quanto indicato la Società, ottenuta la rateizzazione per le mensilità da novembre 2024 a marzo 2025, non avrà più alcuna pendenza nei confronti degli Enti Previdenziali.

Non sussistono debiti verso dipendenti per retribuzioni arretrate, mentre sussistono debiti per liquidazioni TFR non ancora saldate per i quali si sta procedendo con pagamenti parziali in acconto sino a saldo completo degli stessi (che avverrà entro fine anno)

La società ha debiti verso banche ed altri intermediari finanziari scaduti da meno di 30 gg nonché debiti rientrati nel range 30-60 gg, relativi a rate di mutuo dovute e non pagate a seguito della scadenza delle moratorie concesse dagli Istituiti di credito. Nel range dei debiti scaduti da oltre 120gg rientra il piano di rientro concordato con Credit Agricole il cui mancato pagamento delle rate ha comportato il decadimento della relativa rateazione del debito.

Anche nell'ambito dei debiti finanziari sono in fase di avvio le interlocuzioni da parte dell'Esperto nell'ambito del procedimento di CNC.

# *c) Le principali variazioni intervenute nei rapporti verso Parti correlate di codesta Società e del Gruppo ad essa facente capo rispetto all'ultima relazione finanziaria annuale o semestrale approvata ex art. 154-ter del TUF*

Per quello che concerne la situazione al 31.05.2025 non si evidenziano variazioni significative né a livello di capogruppo né di consolidato nei rapporti con le parti correlate rispetto all'ultima relazione finanziaria approvata (31.12.2024).

# *d) L'eventuale mancato rispetto dei covenant e dei negative pledge e di ogni altra clausola dell'indebitamento del Gruppo comportanti limiti all'utilizzo delle risorse finanziarie con indicazione a data aggiornata del grado di rispetto di dette clausole.*

Per quanto sopra si specifica che non sussistono clausole, covenant e/o negative pledge sui finanziamenti in essere sia a livello di Capogruppo che a livello Consolidato.

## *e) Lo stato di implementazione del Piano industriale con l'evidenziazione degli scostamenti dei dati consuntivi rispetto a quelli previsti*

Il Gruppo nel 2023 ha implementato una nuova linea strategica definita nel Business Plan approvato dal CdA a marzo 2023, basata su una sensibile riduzione degli investimenti e dei costi operativi, lo sfruttamento della library esistente e dalla focalizzazione delle vendite nei paesi occidentali.

Il piano quinquennale approvato dal Consiglio periodo 2024-2028 prevedeva una crescita costante del Gruppo attraverso le strategie sopra rappresentate date dal combinato disposto di una sensibile riduzione dei costi di struttura e degli investimenti, e lo sfruttamento più intensivo della library esistente con concentrazione delle vendite nel mercato occidentale.

Nonostante gli sforzi profusi e stante il perdurare della crisi di mercato, i cui effetti si sono ulteriormente accentuati durante il corso del secondo semestre 2024, dall'analisi dettagliata della situazione patrimoniale, economica e finanziaria dell'azienda di fine anno emerse che l'impresa avrebbe potuto, nel breve periodo, dover affrontare difficoltà economiche e tensioni finanziarie, caratterizzate da una riduzione dei ricavi derivanti da una ulteriore contrazione delle vendite a causa della crisi molto importante e strutturale del mercato di riferimento, e dalle conseguenti difficoltà di liquidità dovute anche al combinato disposto delle sempre maggiori difficoltà di incasso dei propri crediti (sia per la congiuntura economica negativa generale che per le difficoltà operative seguenti all'accordo transattivo con OFAC) nonché dal ritardo di incasso delle rate esercitate del Poc in essere con CLG.

Sulla scorta di quanto sopra indicato si è reso necessario nel corso del mese di febbraio 2025 rivedere le prospettive di fatturato per i prossimi anni, con previsioni di vendite significativamente inferiori rispetto al precedente BP, quindi procedere con una revisione dello stesso e conseguentemente ad una importante svalutazione degli asset aziendali a seguito della attualizzazione dei flussi di vendita futuri previsti al ribasso (c.d. impairment).

Alla luce delle attuali e ridimensionate potenzialità dell'azienda e dell'incertezza economica del settore, si è prevista una pianificazione più conservativa delle vendite, una ulteriore attenzione alla riduzione dei costi e all'ottimizzazione delle risorse interne, attraverso misure specifiche per il contenimento dei costi, il miglioramento dell'efficienza operativa delle operazioni che verranno poste in essere e la diversificazione dei canali di vendita per rispondere alla crisi di mercato (in particolare, la società sta studiando la possibilità di accesso a nuovi segmenti di mercato e opportunità di sviluppo sui canali digitali).

La Società ha valutato anche l'opzione di ricorrere a forme alternative di finanziamento ma purtroppo tali tentativi non hanno dato gli esiti sperati, in quanto le condizioni di mercato e la situazione di liquidità hanno reso difficoltoso ottenere nuovi finanziamenti a condizioni sostenibili. Pertanto si è deciso nel corso dei primi mesi del 2025 di avviare il procedimento di composizione negoziata per la soluzione della crisi d'impresa ("CNC"), strumento snello e comunque stragiudiziale che consente di negoziare accordi con i creditori per la ristrutturazione volontaria del loro credito (con dilazioni e/o eventuali stralci), tutelando la continuità aziendale e, ove necessario, attivando misure di protezione del patrimonio aziendale.

Alla data odierna è stato nominato l'Esperto da parte della CCIAA di Roma e lo stesso ha accettato l'incarico, e sono già iniziate le preliminari attività di interlocuzione con il ceto debitorio dell'azienda (prevalentemente col ceto bancario). Per quanto riguarda i fornitori commerciali/chirografari si sono già raggiunti n. 4 accordi importanti a saldo e stralcio con falcidie superiori alla percentuale prevista nel piano di risanamento in corso di definizione/chiusura.

Relativamente al confronto budget consuntivo si evidenzia quanto segue:

Nel contesto dell'attuazione del piano industriale per l'esercizio 2025, la Società ha registrato al 31 maggio 2025 un andamento complessivamente coerente con gli obiettivi gestionali prefissati, con performance che riflettono la fase di transizione in corso, caratterizzata da specifiche attività di riorientamento strategico e razionalizzazione operativa.

# 1. Ricavi e gestione operativa

Il fatturato complessivo al 31 maggio 2025 si attesta a €894mila, in incremento rispetto al budget di periodo pari a €685mila, con uno scostamento positivo assoluto pari a €209mila (+30,5%), grazie anche al contributo della voce degli Altri Ricavi ovvero dei ricavi accessori e/o dei componenti non previsti nel piano previsionale (al cui interno rientrano altresì la quota parte di stralci/falcidie già oggetto di accordo come sopra indicato), che hanno compensato la temporanea contrazione dei ricavi "core" ma che testimoniano altresì la capacità della Società di generare valore anche in una fase di ridefinizione dei propri asset produttivi e commerciali.

Tale risultato riflette azioni gestionali orientate a una maggiore efficienza nella valorizzazione delle risorse disponibili, in attesa della piena attivazione delle linee produttive e distributive programmate nel secondo semestre.

# 2. Costi operativi

I costi esterni di struttura ammontano a €664mila, a fronte di un budget di €535mila, con uno scostamento negativo di €129mila (+24,1%).

Tale differenza è prevalentemente attribuibile a oneri straordinari connessi all'avvio della procedura di Composizione Negoziata della Crisi (CNC), non preventivati nella pianificazione iniziale.

Tali costi includono consulenze, supporti tecnico-legali e spese operative che, per loro natura, hanno carattere temporaneo e saranno diluiti sull'intera durata della procedura, riducendo la loro incidenza nei mesi successivi, risultando pertanto non indicativa della struttura costante di costo

Inoltre, si segnala che non sono ancora pienamente visibili gli effetti della politica di contenimento dei costi, attualmente in corso di implementazione. Tale politica, avviata a inizio esercizio, è focalizzata sull'ottimizzazione dei processi e sulla razionalizzazione dei costi ricorrenti, e si prevede che produca benefici più evidenti nella seconda metà dell'anno.

Alla luce di ciò, la Società ritiene che il riallineamento ai target di budget sia realizzabile già nel corso dei prossimi mesi, in coerenza con l'andamento stagionale dell'attività e con il progressivo dispiegarsi degli effetti delle azioni correttive avviate.

# 3. Redditività e risultato netto

L'EBITDA si attesta a €230mila, superiore rispetto al dato di budget (€192mila), con uno scostamento positivo di €38mila (+19,8%).

Questo risultato dimostra la resilienza della marginalità operativa, nonostante i costi straordinari e il contesto di ristrutturazione in corso.

Il risultato netto di periodo è negativo per €407mila, rispetto a una previsione di €480mila, con uno scostamento positivo di €73mila (-15,2%), principalmente grazie alla gestione contenuta degli oneri finanziari e all'effetto dei maggiori ricavi accessori.

## Conclusioni

Il dato consuntivo al 31 maggio 2025 conferma la tenuta complessiva del piano industriale in termini di equilibrio economico-operativo. Le attività core sono in fase di progressiva implementazione e si prevede che la loro piena valorizzazione emergerà prevalentemente nel secondo semestre dell'anno, anche grazie alla possibile partenza di alcune produzioni in fase avanzata di trattativa.

L'incremento temporaneo dei costi è riconducibile a fattori eccezionali e non strutturali, con impatti destinati a ridursi nel prosieguo dell'anno. La Società prosegue con determinazione nel percorso di attuazione del piano, mantenendo costante il presidio sugli obiettivi strategici e operativi.

# f) *Riepilogo informazioni relative al piano di obbligazioni convertibili non standard in favore di CLG Capital*

L'assemblea dei soci in data 11 dicembre 2023 ha deliberato un piano di obbligazioni non standard in favore di CLG Capital, dell'importo massimo complessivo di euro 7,5 milioni suddiviso in varie tranches; alla data della presente relazione l'avanzamento dell'operazione è il seguente:

Si evidenzia come per alcune conversioni non sono state emesse ad oggi le relative azioni in quanto è stato attivato il prestito titoli da parte di Mondo Tv S.p.A. e da parte di Giuliana Bertozzi come previsto contrattualmente, e per talune altre conversioni l'emissione è in corso di esecuzione nel rispetto dei limiti imposti dalle normative vigenti.

Si ricorda che l'esecuzione del piano di obbligazioni convertibili non standard comporta un effetto diluitivo certo, ma ad oggi non quantificabile sulle partecipazioni detenute dagli attuali azionisti della società, che dipenderà in particolare dalla quota di capitale della Società effettivamente sottoscritta da CLG ad esito della conversione delle Obbligazioni.

Esiste inoltre un rischio di potenziale effetto di deprezzamento del titolo nel corso dell'operazione in caso di vendita sul mercato azionario delle azioni ricevute in conversione da parte del sottoscrittore del prestito.

Il totale di commissioni addebitate in relazione a tale POC è pari al 3,5% sul valore di sottoscrizione di ciascuna tranche, pertanto ad oggi è stato addebitato un valore pari ad euro 192.500 più 10.000 euro a titolo di rimborso spese legali.

As of May 31, 2025, the Company's Net Financial Position stood at -4,875 thousand euros, an improvement of 1,072 thousand euros compared to the negative balance of -5,947 thousand euros recorded as of December 31, 2024 and of 370 thousand euros compared to the figure as of April 30, 2025 (-5,245). The improvement in the NFP is mainly attributable to the increase in liquid assets and current financial receivables, against a limited increase in short-term debt and a reduction in medium-long term debt.

Liquid assets increased significantly from €208.6 thousand to €371 thousand (+€162 thousand), reflecting a greater ability to generate cash in the period (also and above all due to collections from previous receivables and positive flows from operating activities). The figure at 30/04 showed an amount of liquid assets equal to €382 thousand, substantially in line with the figure at 31/05, which indicates the stability of the company's cash flow.

Current financial receivables also increased significantly, going from €775.3 thousand to €1,473.2 thousand (+€698 thousand). This increase is attributable to the greater credit towards CLG Capital LLC following the exercise of the IV tranche of the CB which took place at the beginning of the year.

On the other hand, securities intended for sale decreased by approximately €83 thousand, from €209.0 thousand to €136 thousand, due to the partial sale of securities which took place during the first months of the year.

Current financial debt increased from €2,240 thousand to €2,591 thousand, due to the expired and unpaid installments of the mortgage plans in place after the closure of the moratoriums; these will be included in the negotiations in progress with the start of the CNC procedure. IFRS 16 debts remain unchanged.

On the non-current debt front, there was an overall reduction of €635 thousand resulting from the combined effect of the reduction of €510 thousand in medium/long-term bank debts due to the above, i.e. the "shift" of the medium/long-term portion to current debt, due to the end of the suspension (so-called moratorium) of mortgages, and a reduction of €125 thousand in debts for convertible bonds, determined by the conversions that occurred in the first months of the year net of new issues.

In summary, the structure of the PFN shows a decrease in net debt of approximately €1,072 thousand, a sign of a strengthening of the liquidity position and the company's ability to manage its financial profile dynamically and consistently with operational and strategic needs.

Despite the increase in short-term debt, the significant growth of the liquid component and the reduction of structural debt (long-term) indicate an improvement in the financial risk profile in the period considered.

It should be emphasized that all of the above does not yet reflect in any way the results of the negotiations and discussions in the initial phase for the start of the CNC procedure that could

lead to "falcidie" and write-offs as well as restructuring and extensions of the debt plans in place with the various financial institutions.

#### **Consolidated net financial position**

The current net financial position is negative for €1.1 million, an improvement of €0.4 million compared to the situation at 31 December 2024 due to the decrease in debt to Cofiloisir by the subsidiary Mondo tv France, and due to all of the above for the parent company Mondo TV SpA.

The non-current net financial position is negative for €4.3 million, with a decrease in debt of €0.6 million due to the conversions that occurred during the period of the bonds issued in relation to the non-standard POC in place with Clg Capital and the decrease in the parent company's bank debt.

The overall exposure (current and non-current) to the banking system improved by €0.2 million in the 5 months.

The overdue debt positions mainly refer to trade debts and tax debts.

As regards trade debts, the overdue 0-30 days and 31-60 days fall within the normal operations of the company and are represented by positions managed in any case with payments divided into multiple tranches and absolutely amicably.

It should also be noted that the range of debts overdue by more than 120 days includes debts for which repayment plans had been negotiated, the installments of which were not then paid according to the agreed terms and in any case all still managed amicably.

As regards the creditors' initiatives, it should be noted that the reminders received fall within the normal administrative operations. As of 05/31, 4 injunctions have been received for one of which our lawyers have already reached an out-of-court settlement agreement (following our opposition); for the others received more recently, without prejudice to our opposition, discussions have been initiated in order to reach the same amicable settlement agreement. Furthermore, no suspensions have been made in the supply of services that would compromise normal business operations.

It should also be noted that the procedure undertaken by CNC would allow our company to avail itself of protective measures that would also make any injunctions unenforceable, as well as temporarily suspend the enforceability of enforcement and precautionary actions by creditors. To date, the company has not yet requested access to these measures.

As regards the parent company's overdue tax debts, the range of debts overdue by less than 30 days mainly includes two membership plans agreed with the Revenue Agency, the nonpayment of which has led to the forfeiture of the related installments (the same amounts will then be entered in the tax roll by the Revenue Agency). The same range also includes IRPEF withholdings (1001), regional surcharges, as well as advance withholdings for professionals (1040) in addition to withholdings on severance pay payments (1012) for the month of April.

Tax debts for the 31-60 day period include additional adhesion agreements with the Revenue Agency that have expired (these will also be subject to registration), as well as IRPEF withholdings for employees and professionals (1001 and 1040) for the month of March.

Tax debts falling within the 60-90 brackets include IRPEF withholdings for both employees and professionals (1001 and 1040) for the month of February.

The range of tax debts 90-120 days includes the employee IRPEF withholdings, additional ones, and professional withholdings (codes 1001,3802,3847,3848 and 1040) of December 2024 and January 2025.

The tax debts overdue for more than 120 days include, in addition to a further adhesion plan with the expired AdE (relating to an assessment on the 2017 tax year), also all the employee and professional IRPEF withholdings of 2023 and 2024 (for which the relative payment notices have not yet been notified).

Obviously, also in this case, the tax debts will be subject to negotiation within the scope of the CNC procedure undertaken, within which the Company hopes to obtain reductions as well as renegotiations in the payment times.

Social security debts overdue by less than 30 days include the contributions of collaborators and employees for the month of April (whose payment was regularized in the following month of June), the 30-60 day range includes the contributions of the month of March, the 60-90 day range includes the contributions of the month of February. The 90-120 day range includes the contributions of the month of January 2025, while debts overdue by more than 120 days include the employee contributions of the months of November and December 2024. Please note that for the purposes of regularizing the debt to the Social Security Institute, a request for the deferral of the debt in 24 months of the debts from November to March has been submitted. The subsequent monthly payments will be subject to payment through the use of horizontal compensation of the certified VAT credit relating to the 2024 VAT Declaration. The debt to Inail was also regularized in the month of June.

Having said all of the above, in light of what has been indicated, the Company, having obtained the installment plan for the monthly payments from November 2024 to March 2025, will no longer have any pending payments with the Social Security Institutions.

There are no debts to employees for back wages, while there are debts for severance pay not yet paid for which partial payments are being made in advance until full payment of the same (which will occur by the end of the year)

The company has debts to banks and other financial intermediaries that are overdue by less than 30 days as well as debts that have fallen within the range of 30-60 days, relating to mortgage installments due and not paid following the expiry of the moratoriums granted by the credit institutions. The range of debts overdue by more than 120 days includes the repayment plan agreed with Credit Agricole, whose failure to pay the installments has led to the lapse of the relative debt installment plan.

Also in the area of financial debts, discussions by the Expert are in the process of starting within the CNC procedure.

## *c) The main changes in transactions with related parties of the Company and the Group it heads, compared to the most recent approved annual or semi-annual financial report pursuant to Article 154-ter of the TUF*

As of Mai 31, 2025, there are no significant changes—either at the level of the parent company or the consolidated group—in relationships with related parties compared to the latest approved financial report (December 31, 2024).

## *d) Any failure to comply with covenants, negative pledges, or any other clauses of the Group's indebtedness that limit the use of financial resources, with an updated indication of compliance status*

It is hereby specified that there are no covenants, negative pledges, or other restrictive clauses on the existing financing agreements, either at the parent company level or on a consolidated basis.

## *e) Status of the implementation of the Industrial Plan, highlighting variances between actual and forecast data*

In 2023, the Group implemented a new strategic line defined in the Business Plan approved by the Board of Directors in March 2023, based on a significant reduction in investments and operating costs, the exploitation of the existing library and the focus of sales in Western countries.

The five-year plan approved by the Board for the period 2024-2028 envisaged constant growth for the Group through the strategies represented above, given by the combined effect of a significant reduction in structural costs and investments, and the more intensive exploitation of the existing library with concentration of sales in the Western market.

Despite the efforts made and given the ongoing market crisis, the effects of which have further accentuated during the second half of 2024, a detailed analysis of the company's financial, economic and equity situation at the end of the year revealed that the company could, in the short term, have to face economic difficulties and financial tensions, characterised by a reduction in revenues resulting from a further contraction in sales due to the very significant and structural crisis in the reference market, and the resulting liquidity difficulties also due to the combined effect of the ever-increasing difficulties in collecting its receivables (both due to the general negative economic situation and the operational difficulties following the settlement agreement with OFAC) as well as the delay in collecting the installments exercised

under the Poc in place with CLG. In light of the above, it was necessary during the month of February 2025 to review the turnover prospects for the next few years, with sales forecasts significantly lower than the previous BP, then proceed with a revision of the same and consequently to a significant devaluation of the company's assets following the discounting of the expected future sales flows downwards (so-called impairment).

In light of the current and reduced potential of the company and the economic uncertainty of the sector, a more conservative sales planning was envisaged, further attention to cost reduction and optimization of internal resources, through specific measures for cost containment, improvement of the operational efficiency of the operations that will be implemented and the diversification of sales channels to respond to the market crisis (in particular, the company is studying the possibility of accessing new market segments and development opportunities on digital channels).

The Company also evaluated the option of resorting to alternative forms of financing, but unfortunately these attempts did not yield the desired results, as market conditions and the liquidity situation made it difficult to obtain new financing at sustainable conditions. Therefore, it was decided during the first months of 2025 to start the negotiated composition procedure for the resolution of the business crisis ("CNC"), a streamlined and in any case outof-court tool that allows for the negotiation of agreements with creditors for the voluntary restructuring of their credit (with deferrals and/or possible write-offs), protecting business continuity and, where necessary, activating measures to protect the company's assets.

To date, the Expert has been appointed by the Chamber of Commerce of Rome and has accepted the assignment, and preliminary dialogue activities with the company's debtor class (mainly with the banking class) have already begun. As regards commercial/unsecured suppliers, n. 4 important settlement agreements with losses exceeding the percentage foreseen in the recovery plan currently being defined/closed.

In the context of the implementation of the business plan for the 2025 financial year, the Company recorded a trend as of 31 May 2025 that was overall consistent with the management objectives set, with performances that reflect the ongoing transition phase, characterized by specific strategic reorientation and operational rationalization activities.

#### 1. Revenues and operational management

Total turnover as of 31 May 2025 stood at €894 thousand, an increase compared to the period budget of €685 thousand, with an absolute positive deviation of €209 thousand (+30.5%), also thanks to the contribution of the Other Revenues item, i.e. ancillary revenues and/or components not foreseen in the forecast plan (which also includes the portion of writeoffs/mitigations already subject to an agreement as indicated above), which offset the temporary contraction in "core" revenues but which also demonstrate the Company's ability to generate value even in a phase of redefinition of its production and commercial assets.

This result reflects management actions aimed at greater efficiency in the valorization of available resources, pending the full activation of the production and distribution lines scheduled for the second half of the year.

#### 2. Operating costs

External structural costs amount to €664 thousand, compared to a budget of €535 thousand, with a negative deviation of €129 thousand (+24.1%).

This difference is mainly attributable to extraordinary costs related to the start of the Negotiated Crisis Resolution (CNC) procedure, not foreseen in the initial planning.

These costs include consultancy, technical-legal support and operating expenses which, by their nature, are temporary and will be spread over the entire duration of the procedure, reducing their impact in the following months, and are therefore not indicative of the constant cost structure.

Furthermore, it should be noted that the effects of the cost containment policy, currently being implemented, are not yet fully visible. This policy, launched at the beginning of the year, is focused on process optimization and rationalization of recurring costs, and is expected to produce more evident benefits in the second half of the year.

In light of this, the Company believes that the realignment with budget targets can be achieved already in the coming months, in line with the seasonal trend of the business and with the progressive unfolding of the effects of the corrective actions initiated.

#### 3. Profitability and net result

EBITDA stands at €230 thousand, higher than the budget figure (€192 thousand), with a positive deviation of €38 thousand (+19.8%).

This result demonstrates the resilience of the operating margin, despite the extraordinary costs and the ongoing restructuring context.

The net result for the period is negative for €407 thousand, compared to a forecast of €480 thousand, with a positive deviation of €73 thousand (-15.2%), mainly thanks to the limited management of financial charges and the effect of higher ancillary revenues.

## Conclusions

The final data at 31 May 2025 confirms the overall stability of the industrial plan in terms of economic-operational balance. The core activities are in the process of progressive implementation and it is expected that their full valorization will emerge mainly in the second half of the year, also thanks to the possible start of some productions in an advanced stage of negotiation.

The temporary increase in costs is attributable to exceptional and non-structural factors, with impacts destined to decrease as the year progresses. The Company continues with determination on the path of implementing the plan, maintaining constant control over the strategic and operational objectives.

## *f) Summary of information relating to the non-standard convertible bond plan in favor of CLG Capital*

At the Shareholders' Meeting held on December 11, 2023, the Company approved a nonstandard convertible bond plan in favor of CLG Capital, with a maximum total amount of €7.5 million, divided into multiple tranches. As of the date of this report, the status of the operation is as follows:

It should be noted that for some conversions, the related shares have not been issued to date as the securities lending has been activated by Mondo Tv S.p.A. and Giuliana Bertozzi as contractually provided for, and for some other conversions the issue is in progress in compliance with the limits imposed by current regulations.

It should be noted that the execution of the non-standard convertible bond plan entails a certain dilutive effect, but one that cannot be quantified to date, on the shareholdings held by

the current shareholders of the company, which will depend in particular on the share of the Company's capital actually subscribed by CLG following the conversion of the Bonds.

There is also a risk of a potential depreciation effect on the stock during the transaction in the event of the shares received in conversion being sold on the stock market by the subscriber of the loan.

The total commissions charged in relation to this POC are equal to 3.5% of the subscription value of each tranche, therefore to date a value equal to 192,500 euros has been charged plus 10,000 euros as reimbursement of legal expenses.
