## **MINUTES OF ANNUAL GENERAL MEETING**

### COMPANY REGISTRATION NUMBER 822 907 822

The annual general meeting of Observe Medical ASA (the "**Company**") was held on 27 June 2025 at 10:00 hours (CEST) at Dronning Eufemias gate 16, 2nd floor, 0191 Oslo, Norway and as an electronic meeting through Microsoft Teams.

The general meeting was opened by the chairperson of the board of directors, Terje Bakken, who kept a record of attending shareholders. The record of attending shareholders, including the number of shares and votes represented, is attached to these minutes as Appendix 1.

According to the record, 9,262,901 of a total of 19,258,412 issued shares and votes, corresponding to 48.1 % of the total number of voting shares in the Company, were represented at the general meeting.

## **1 VALG AV MØTELEDER 1 ELECTION OF A PERSON TO CHAIR THE MEETING** I samsvar med styrets forslag traff generalforsamlingen følgende vedtak: In accordance with the board of directors' proposal, the general meeting passed the following resolution: *Terje Bakken velges som møteleder. Terje Bakken is elected to chair the meeting.*  Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen. The resolution was passed with the required majority, cf. the result of the voting set out in Appendix 2 to the minutes. **2 VALG AV EN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN 2 ELECTION OF A PERSON TO CO-SIGN THE MINUTES** *Generalforsamlingen valgte Johan M. Fagerli til å medundertegne protokollen sammen med møtelederen. The general meeting elected Johan M. Generalforsamlingen tok redegjørelsen til etterretning. The general meeting took note of the report.

# **13 RAPPORT OM LØNN OG ANNEN GODTGJØRELSE TIL LEDENDE PERSONER**

I henhold til allmennaksjeloven § 6-16b og den tilhørende forskriften hadde styret utarbeidet en rapport om lønn og annen godtgjørelse til ledende personer i Selskapet som var gjort tilgjengelig på Selskapets hjemmeside samtidig med innkallingen til den ordinære generalforsamlingen.

Generalforsamlingen avholdt en rådgivende avstemming over rapporten om lønn og annen godtgjørelse til ledende personer i Selskapet hvor generalforsamlingen besluttet å gi sin tilslutning til rapporten jf. avstemmingsresultatet inntatt som Vedlegg 2 til protokollen.

I samsvar med styrets forslag traff generalforsamlingen følgende vedtak:

- *a) Aksjekapitalen nedsettes med NOK 67 019 273,76, fra NOK 75 107 806,80 til NOK 8 088 533,04, ved reduksjon av hver aksjes pålydende verdi med NOK 3,48, fra NOK 3,90 til NOK 0,42.*
- *b) Nedsettelsesbeløpet skal brukes til dekning av tap som ikke kan dekkes på annen måte, jf. allmennaksjeloven § 12-1 første ledd nr. 1.*
-

Beslutningen ble truffet med nødvendig flertall, jf. avstemmingsresultat inntatt som Vedlegg 2 til protokollen.

# **13 REPORT ON SALARY AND OTHER REMUNERATION TO LEADING PERSONNEL**

In accordance with section 6-16b of the Norwegian Public Limited Liability Companies Act and related regulations, the board of directors had prepared a report on salary and other remuneration to leading personnel, which had been made available at the Company's website together with the notice of the annual general meeting.

The report on salary and other remuneration to leading personnel was considered by the general meeting by way of an advisory vote, whereupon the general meeting decided to endorse the report, cf. the result of the voting set out in Appendix 2 to these minutes.

# **14 FORSLAG OM KAPITALNEDSETTELSE 14 PROPOSAL OF SHARE CAPITAL REDUCTION**

In accordance with the board of directors' proposal, the general meeting passed the following resolution:

- *a) The share capital is reduced by NOK 67,019,273.76, from NOK 75,107,806.80 to NOK 8,088,533.04, by way of reduction of the nominal value of each share with NOK 3.48, from NOK 3.90 to NOK 0.42.*
- *b) The reduction amount shall be used to cover losses that cannot be covered by other means, cf. section 12-1 (1) item 1 of the Norwegian Public Limited Liability Companies Act.*
- *c) Vedtektenes § 4 endres til å lyde som følger: c) Section 4 of the articles of association is amended to read as follows:*

*"The share capital of the company is NOK 8,088,533.04, divided into 19,258,412 shares, each with a nominal value of NOK 0.42."*

# **15 FULLMAKT TIL STYRET TIL Å FORHØYE AKSJEKAPITALEN FOR Å FINANSIERE VIDERE VEKST MV.**

Møteleder viste til innkallingen til ekstraordinær generalforsamling sendt ut til Selskapets aksjonærer den 12. juni 2025, hvor det ble opplyst at styret har besluttet å trekke forslaget om å gi styret fullmakt til å forhøye aksjekapitalen for å finansiere videre vekst mv.

Styret har vurdert at det er ønskelig å sikre et proporsjonalt og hensiktsmessig forhold mellom størrelsen på en slik fullmakt og Selskapets aksjekapital etter gjennomføringen av den rettede emisjonen som ble annonsert av Selskapet i en børsmelding publisert 11. juni 2025. Som følge av dette har styret besluttet å i stedet fremme forslaget om en slik styrefullmakt for den ekstraordinære generalforsamlingen som skal avholdes 3. juli 2025, hvor aksjonærene vil kunne vurdere forslaget basert på Selskapets aksjekapital etter den rettede emisjonen.

# **15 AUTHORISATION TO THE BOARD OF DIRECTORS TO INCREASE THE SHARE CAPITAL IN ORDER TO FINANCE FURTHER GROWTH ETC.**

The chairperson of the meeting referred to the notice of the extraordinary general meeting, which was distributed to the Company's shareholders on 12 June 2025, where it was stated that the board of directors has resolved to withdraw the proposal to grant the board of directors an authorisation to increase the share capital in order to finance further growth, etc.

The board has considered it desirable to ensure a proportional and appropriate relationship between the size of such authorisation and the Company's share capital following completion of the private placement announced by the Company through a stock exchange announcement published on 11 June 2025. As a result, the board has resolved to instead present the authorisation proposal to the extraordinary general meeting to be held on 3 July 2025, where the shareholders will be able to consider the proposal based on the share capital following the private placement.

Det ble derfor ikke votert over dette agendapunktet. Accordingly, no voting was made on this agenda item.
