## **L'Assemblea Ordinaria degli Azionisti di SolidWorld Group S.p.A. ha deliberato su tutti i punti all'ordine del giorno:**

- *Approvato il bilancio d'esercizio al 31 dicembre 2024 e approvazione della proposta di copertura della perdita di esercizio.*
- *Approvata l'autorizzazione all'acquisto e alla disposizione di azioni proprie per un controvalore massimo di euro 500.000, previa revoca della precedente autorizzazione conferita dall'Assemblea del 27 giugno 2024, per la parte non eseguita.*
- *Nominato il nuovo Consiglio di Amministrazione per il triennio 2025-2027*
- *Nominato il nuovo Collegio Sindacale per il triennio 2025-2027*

*Treviso, 26 giugno 2025* **– SolidWorld Group S.p.A.,** un **gruppo tecnologico italiano** leader nell'integrazione di **soluzioni digitali 3D avanzate** e **intelligenza artificiale** al servizio dei settori industriali strategici di nuova generazione, quotato su **Euronext Growth Milan (ticker: S3D**), rende noto che l'Assemblea ordinaria dei soci si è riunita in data odierna sotto la presidenza dell'Ingegner Roberto Rizzo in modalità esclusivamente telematica, nel rispetto delle disposizioni normative e statutarie vigenti. L'Assemblea ha deliberato su tutti i punti all'ordine del giorno, come riportato di seguito e ha innanzitutto approvato il bilancio civilistico di **SolidWorld Group S.p.A.** al 31 dicembre 2024, esaminato il bilancio consolidato del Gruppo **SolidWorld Group S.p.A.** anch'esso riferito all'esercizio 2024.

**L'Ingegner Roberto Rizzo, Fondatore e Amministratore Delegato di SolidWorld**, ha commentato: "*Il 2024 è stato un anno di trasformazione strategica per il nostro Gruppo. Abbiamo compiuto scelte decisive, concentrando risorse e investimenti su mercati ad alto potenziale come l'industriale, il biomedicale e la difesa, che è destinata a diventare una nuova linea di business già nel corso del 2025.*

*Nonostante un contesto macroeconomico complesso, il Valore della Produzione a livello consolidato si è attestato a 66,2 milioni di euro, in leggera flessione rispetto all'anno precedente, ma con un forte miglioramento dell'EBITDA, che ha raggiunto 6,5 milioni di euro, raddoppiando il risultato del 2023 e portando l'EBITDA margin al 10%.*

*Questi numeri confermano la solidità delle nostre scelte e la nostra capacità di adattamento. Stiamo crescendo nei settori dove la domanda è in forte espansione e dove possiamo generare valore immediato. L'acquisizione di Due Pi Greco S.r.l. ci rafforza nel comparto difesa, mentre la biostampante Electrospider e l'apertura nel 2023 della sede di Dubai di SolidWorld, segnano tappe fondamentali nel nostro percorso di crescita internazionale e innovazione.*

L'Assemblea ha approvato la proposta del Consiglio di Amministrazione relativa alla copertura della perdita dell'esercizio chiuso al 31 dicembre 2024, pari a euro 957.538. Il Consiglio di Amministrazione ha proposto di coprire tale perdita come segue:

- per euro 432.556 mediante l'utilizzo della riserva da utili portati a nuovo;
- per euro 524.982 mediante l'utilizzo della riserva sovrapprezzo azioni.

L'Assemblea ha rinnovato l'autorizzazione al Consiglio di Amministrazione all'acquisto e alla disposizione di azioni proprie (il "Programma di buy-back"), revocando la precedente autorizzazione conferita il 27 giugno 2024 limitatamente alla parte non ancora eseguita. La nuova autorizzazione, ai sensi e per gli effetti degli articoli 2357 e 2357-ter del Codice Civile, consente al Consiglio di procedere all'acquisto e alla disposizione di azioni proprie della Società, fino a un quantitativo massimo che, considerando anche le azioni già detenute dalla Società e dalle eventuali società controllate, non ecceda complessivamente il 10% del capitale sociale pro tempore, per un controvalore massimo di euro 500.000.

L'autorizzazione ha una durata di 18 mesi a partire dalla data di deliberazione odierna, in conformità all'art. 2357, comma 2, del Codice Civile ed è finalizzata a dotare la Società di uno strumento strategico flessibile a supporto delle proprie attività operative, finanziarie e di sviluppo. Tra le altre:

- l'adempimento di obblighi derivanti da piani di incentivazione azionaria rivolti a dipendenti, collaboratori e amministratori del Gruppo;
- la stabilizzazione del titolo e il sostegno alla liquidità del mercato;
- l'utilizzo di azioni proprie come corrispettivo in operazioni straordinarie (es. acquisizioni, alleanze strategiche, operazioni sul capitale);
- la costituzione di un portafoglio titoli funzionale a future iniziative di carattere finanziario o gestionale.

L'Assemblea ha inoltre definito, secondo quanto proposto dal Consiglio di Amministrazione, termini e condizioni dell'acquisto e della disposizione di azioni proprie, individuando in particolare le modalità di calcolo del prezzo di acquisto, nonché le modalità operative di effettuazione delle operazioni di acquisto.

L'Assemblea ha nominato il nuovo Consiglio di Amministrazione per il triennio 2025- 2027, che sarà composto da Roberto Rizzo in qualità di Consigliere di Amministrazione e Presidente, Marco Calini e Lucio Ferranti in qualità di consiglieri, Michele Pellegrini in qualità di consigliere indipendente, votando l'unica lista presentata per la candidatura. ## **Consiglio di Amministrazione nomina le cariche esecutive**

**SolidWorld Group S.p.A**. comunica che in data odierna, si è riunito il nuovo Consiglio di Amministrazione, nominato dall'Assemblea degli Azionisti tenutasi in pari data, che ha provveduto all'assegnazione delle cariche esecutive.

Il Consiglio ha nominato:

- Roberto Rizzo, in qualità di Consigliere Delegato e Presidente del Consiglio di Amministrazione;
- Marco Calini, in qualità di Vicepresidente del CDA e Consigliere Delegato;

Le nomine sono avvenute nel rispetto dello statuto sociale e della normativa vigente. Il nuovo Consiglio appena insediatosi ha altresì approvato i criteri quali-quantitativi di significatività delle relazioni potenzialmente rilevanti ai fini della valutazione degli Amministratori Indipendenti ai sensi dell'articolo 6-bis del Regolamento Emittenti EGM ed ha quindi verificato il possesso dei requisiti di indipendenza in capo all'amministratore indipendente Michele Pellegrini e di onorabilità e professionalità previsti per legge, in capo a tutti gli amministratori.

**The Ordinary Shareholders' Meeting of SolidWorld Group S.p.A. has resolved on all items on the agenda:**

*● Approval of the statutory financial statements as of December 31, 2024, and approval of the proposed coverage of the net loss for the year;*

The Shareholders' Meeting passed resolutions on all items on the agenda, as outlined below, the Shareholders' Meeting first approved the statutory financial statements of **SolidWorld Group S.p.A.** as of December 31, 2024, reviewed the consolidated financial statements of the **SolidWorld Group S.p.A** for the same fiscal year.

**Engineer Roberto Rizzo, Founder and CEO of SolidWorld,** commented: *"2024 was a year of strategic transformation for our Group. The Shareholders' Meeting approved the proposal of the Board of Directors regarding the coverage of the net loss for the financial year ended December 31, 2024, amounting to Eur 957,538.

The Board of Directors proposed to cover the loss as follows:

- Eur 432,556 through the use of retained earnings;
- Eur 524,982 through the use of the share premium reserve.

The Shareholders' Meeting renewed the authorization granted to the Board of Directors to purchase and dispose of treasury shares (the "Buy-back Program"), revoking the previous authorization granted on June 27, 2024, exclusively for the portion not yet executed. The new authorization, pursuant to Articles 2357 and 2357-ter of the Italian Civil Code, allows the Board of Directors to purchase and dispose of the Company's treasury shares, up to a maximum amount which—taking into account the shares already held by the Company and its subsidiaries—shall not exceed 10% of the share capital pro tempore, for a total maximum consideration of Eur 500,000.

The authorisation has a validity of 18 months, starting from the date of today's approval, in accordance with Article 2357, paragraph 2, of the Italian Civil Code, and is intended to provide the Company with a flexible strategic tool to support its operational, financial, and growth activities. Among other purposes:

- to fulfil obligations arising from share-based incentive plans for employees, collaborators, and directors of the Group;
- to stabilize the stock and support market liquidity;
- to use treasury shares as consideration in extraordinary transactions (e.g., acquisitions, strategic alliances, capital operations);
- to build a portfolio of shares to be used in future financial or managerial initiatives.

The Shareholders' Meeting also defined, in line with the proposal of the Board of Directors, the terms and conditions for the purchase and disposal of treasury shares, specifically outlining the criteria for determining the purchase price and the operational procedures for executing the buy-back transactions.

The General Meeting appointed the new Board of Directors for the three-year period 2025–2027. The Board will be composed of Roberto Rizzo as Director and Chairman, Marco Calini and Lucio Ferranti as Directors, and Michele Pellegrini as Independent Director, by voting for the only list presented for application.

The General Meeting also renewed the Board of Statutory Auditors for the three-year period 2025–2027. ## **The Board of Directors appoints the executive roles**

**SolidWorld Group S.p.A**. announces that today the newly appointed Board of Directors, nominated by the General Meeting of Shareholders held on the same date, convened and proceeded with the appointment of executive positions.

The Board appointed:

- Roberto Rizzo as Chief Executive Officer and Chairman of the Board of Directors;
- Marco Calini as Vice Chairman of the BoD and Chief Executive Officer.

The appointments were made in compliance with the Articles of Association and current regulations. The newly-appointed Board also approved the qualitative and quantitative criteria of significance of the relationships potentially relevant to the evaluation of Independent Directors pursuant to Article 6-bis of the EGM Issuers' Regulation, and therefore verified that independent director Michele Pellegrini met the requirements of independence and that all directors met the requirements of honourableness and expertise required by law.
