## *STIPULATO L'ACCORDO DEFINITIVO PER L'ALLEANZA CON IL GRUPPO RODA*

## *Milano, 25 giugno 2025*

Dexelance S.p.A., gruppo industriale diversificato tra i leader italiani nel design, luce e arredamento di alta gamma ("Dexelance"), ha sottoscritto in data 24 giugno 2025 l'accordo definitivo per l'ingresso – con una quota iniziale del 25% - nel capitale di Roda S.r.l. ("Roda") cui fa capo il Gruppo Roda. Il closing è previsto entro settembre 2025.

Il Gruppo Roda, con sede a Gavirate (VA) e presenza produttiva e commerciale in Europa, Stati Uniti e Asia, che ha sviluppato per primo la visione del mondo "outdoor" come nuovo protagonista di un lifestyle moderno, dinamico e capace di coniugare design, natura ed eleganza, ha concluso l'esercizio 2024 con circa 31 milioni di euro di fatturato, di cui oltre il 50% all'estero, con un EBITDA di circa 4 milioni di euro ed una posizione finanziaria netta di circa 7,5 milioni di euro.

L'alleanza strategica tra Roda e Dexelance è stata concepita per rafforzare ulteriormente la forte leadership nell'arredamento outdoor alto di gamma.

L'esborso di Dexelance sarà di 8,5 milioni di euro, di cui 4,5 per l'acquisto di quote detenute dai soci Roda e 4 milioni in aumento di capitale, destinati ad accelerare lo sviluppo, specie all'estero, dei prodotti Roda.

Il restante 75% del capitale sociale di Roda resterà ai soci Roda che, in linea con il consolidato *modus operandi* di Dexelance, resteranno alla guida del Gruppo Roda, in completa continuità di gestione. Dexelance fornirà supporto strategico attraverso il proprio network commerciale e retail, con iniziative di comunicazione e marketing, progetti di trasformazione digitale e condividendo i propri rapporti con i più prestigiosi studi di architettura e interior design a livello mondiale.

L'accordo prevede reciproche opzioni di acquisto e vendita il cui esercizio consentirà a Dexelance di raggiungere la maggioranza (60%) del capitale sociale di Roda nel corso dell'esercizio 2028. Il pagamento del prezzo di esercizio delle opzioni, determinato sulla base dei risultati conseguiti dal Gruppo Roda nel 2026 e 2027, prevede anche un earn out legato ai risultati del 2028 e potrà avvenire, se al tempo concordato tra le parti, totalmente o parzialmente, in azioni Dexelance.

Dexelance terrà informato il mercato in merito al perfezionamento dell'operazione, che è subordinato alla sola assenza di eventi pregiudizievoli rilevanti prima della data del *closing.*

## *FINAL AGREEMENT FOR ALLIANCE WITH RODA GROUP SIGNED*

*Milan, 25 June 2025*

Dexelance S.p.A., a diversified industrial group and one of Italy's leading players in design, lighting and highend furniture ("Dexelance"), has signed on 24 June 2025 the definitive agreement to enter - with an initial stake of 25% - in the capital of Roda S.r.l. ("Roda"), parent company of Roda Group. Closing is expected by September 2025.

Roda Group, headquartered in Gavirate (VA) and with production and commercial presence in Europe, the United States and Asia, which first developed the vision of the "outdoor" world as the new protagonist of a modern, dynamic lifestyle capable of combining design, nature and elegance, ended the 2024 fiscal year with approximately 31 million euros in sales, more than 50% of which were generated abroad, with an EBITDA of approximately 4 million euros and a net financial position of approximately 7.5 million euros.

The strategic alliance between Roda and Dexelance has been conceived to further strengthen the strong leadership in high-end outdoor furniture.

Dexelance's outlay will consist of €8.5 million, including €4.5 million for the purchase of shares held by Roda shareholders and €4 million in capital increase, intended to accelerate the development of Roda products, especially abroad.

The remaining 75% of Roda's share capital will remain with Roda partners who, in line with Dexelance's wellestablished way of operating, will stay at the helm of the Roda Group, in complete managerial continuity. Dexelance will provide strategic support through its commercial and retail network, with communication and marketing initiatives, digital transformation projects, and by sharing its relationships with the world's most prestigious architecture and interior design firms.

The agreement includes reciprocal buy and sell options, the exercise of which will enable Dexelance to achieve a majority (60%) stake in Roda's share capital in fiscal year 2028. The payment of the exercise price of the options, determined on the basis of the results achieved by Roda Group in 2026 and 2027, also includes an earn-out linked to the 2028 results and may be carried out, if at the time agreed between the parties, totally or partially in Dexelance shares.

Dexelance will keep the market informed about the closing of the transaction, which is subject only to the absence of material adverse events prior to the closing date.
