Current Report No. 9/2016Date: 26 February 2016Topic: Courtregistration of amendments to the Articles of Association of the WarsawStock ExchangeLegal Basis: Article 56.1(2) of the Act on PublicOffering - current and periodic reportsContent:TheWarsaw Stock Exchange ("GPW", "Company") informs that on 26 February2016, the amendments of the GPW Articles of Association adopted inResolution No. 24 of the Ordinary General Meeting of the Company on 25June 2015, the content of which is contained in the Attachment (apartfrom changes assuming a new wording of § 20 (5) which were not approvedby the Polish Financial Supervision Authority) were registered by theDistrict Court for the City of Warsaw, 12th Commercial Division of theNational Court Register.The amendments of the Articles ofAssociation concern among others the amendment of the structure of theCompany's share capital following the conversion of 28,000 registeredshares of the GPW into bearer shares, reported by the Company in CurrentReports No. 1/2015 of 26 February 2015 and No. 2/2015 of 16 March 2015.Afterthe aforementioned conversion, all shares of the Company jointly confer56,751,470 votes at the General Meeting, i.e., 29,558,940 votesconferred by series A shares preferred by each share conferring twovotes and 27,192,530 shares conferred by series B shares.Legalbasis:§ 5.1(9) and § 38.1(2) of the Regulation of the Minister ofFinance of 19 February 2009 on current and periodic information providedby issuers of securities and on conditions under which informationrequired by legal regulations of a third country may be recognised asequivalent.
