Opinion of the ENERGA SA Supervisory Board on distribution of theCompany's net profit for the financial year 2015

The Management Board of ENERGA SA ("Company") hereby reports that on 24May 2016, the the Company's Supervisory Board issued a positive opinionon the Company Management Board's motion on distribution of theCompany's net profit earned in the financial year ended 31 December2015. According to information provided by the Company in Current Report18/2016 the Management Board recommended the following distribution ofthe 2015 net profit of PLN 841,165,914.38:

1) payment of a dividend to shareholders in the amount of PLN202,892,885.86, i.e. PLN 0.49 per share (24.1% of profit),

2) designation of profit in the amount of PLN 570,979,755.36 to reservecapital (67.9% of profit),

3) designation of profit in the amount of PLN 67,293,273.16 tosupplementary capital (8.0% of profit).

The Management Board's recommendation along with the opinion of theSupervisory Board will be submitted to the Company's General Meeting,which will make the final decision on the distribution of the Company's2015 net profit.
