Current Report No. 46/2016Date: 16 December 2016Topic:Appointment of a member of the Exchange Management BoardLegal basis:Article 56.1(2) of the Offering Act - current and periodic informationContent:TheWarsaw Stock Exchange ("GPW", "Company", "Exchange") informs that theGPW Supervisory Board at its meeting on 16 December 2016, actingpursuant to Article 368 §4 of the Code of Commercial Companies inconnection with §20.3 of the Company's Articles of Association hasdecided to appoint Mr. Jacek Fotek to the position of the Vice Presidentof the Exchange Management Board.According to the Article 27.1 ofthe Act on Trading in Financial Instruments of 29 July 2005 theaforementioned decision shall take effect conditional on the approval ofthe Polish Financial Supervision Authority (‘KNF') for the change on theExchange Management Board.Jacek Fotek holds an MA in ForeignTrade from the Warsaw School of Economics and an MBA from the QuebecUniversity Montreal (2002). His professional career has focused on themoney and capital markets. He was the co-founder of the Polish interbankmoney and forex markets. In 1989-1990, he was responsible foroperational management of the national foreign currency reserves at theNational Bank of Poland. In 1990-1996, Chief Dealer at Bank Handlowy wWarszawie. In 1996-1997, CFO of Polski Bank Rozwoju. In 1997-1999,Member of the Management Board of Citibank (Poland) S.A., and previouslyDirector of the Treasury Department and Director of Investor Relations.In 1999-2002 with Bank Handlowy w Warszawie S.A. as Advisor to thePresident and previously Director of the Internal Control Department. Hewas with PZU Asset Management S.A. in 2003-2009, among others as VicePresident for Risk Management, Internal Control and Audit. In 2009-2012and 2013-2016 President of the Management Board of BondSpot S.A. In2012-2013 - President of the Management Board of Invista DM S.A. Formermember of Supervisory Boards of several organisations including PGEPolska Grupa Energetyczna S.A (2015-2016), GPW Foundation (2015-2016),IAiR S.A. (2014-2016). Since 1997, lecturer at Warszawski InstytutBankowości; in 1993-2002, lecturer at Gdańska Akademia Bankowa; since2010, lecturer at Instytut Rynku Kapitałowego. Since 1993, foundingmember of the dealer association Polskie Stowarzyszenie DealerówBankowych - FOREX POLSKA (currently ACI Poland). He has completed manyinternational training courses and programmes in the capital and moneymarkets, risk management, audit and investments.According to thestatement provided by Mr. Jacek Fotek he does not perform in any formany activities competitive to the GPW, he is not engaged in acompetitive company as a partner in a partnership or civil lawpartnership or a member of an authority of a joint stock company, and heis not engaged in any other competitive legal entity as a member of itsauthority.
