Subject: Motion of Management Board on dividend

Current Report No. 21/2017

The Management Board of Pfleiderer Group S.A. (hereinafter the"Company") informs about adopting at April 25, 2017 a resolution on amotion of the Management Board to General Meeting of Shareholdersconcerning distribution of the Company's profit for business year 2016amounting to PLN 207,056 thousand.

The Management Board recommends assigning PLN 71,171,107.70 for paymentof the dividend amounting to 1.10 PLN per one share and assigningremaining part of the profit to Company's supplementary capital.

Pursuant to § 38 Section 1 Item 11 of the Ordinance of the Minister ofFinance of February 19, 2009 regarding current and periodicalinformation disclosed by issuers of securities and conditions forrecognizing as equivalent information required by the laws of anon-member state.
