5/2017 Agora intends to share profit with shareholdersRegulatoryfilingThe Management Board of Agora S.A. with its registeredseat in Warsaw ("Agora", "the Company") hereby informs that on the 11thof May, 2017 a resolution was adopted to recommend the General Meetingof Shareholders not to pay dividend to shareholders. The ManagementBoard proposes to cover net loss for the fiscal year 2016 at the amountof PLN 52,754,372.37 from the Company's reserve capital.Atthe same time, the Management Board of the Company decided to recommendthe General Meeting of Shareholders distribution to shareholders profitfrom previous years by financing by the end of the year 2017 a sharebuyback process up to the total amount of PLN 23,832,713, with thepurchase price of PLN 15,50-20,00 per a share. Detailed informationabout the buyback process shall be distributed not later than with draftresolutions presented before the General Meeting of Shareholders.TheCompany hereby informs that the Management Board's recommendation waspositively evaluated by the Supervisory Board of the Company. The finaldecision concerning net loss coverage for the fiscal year 2016 as wellas distribution of profit from previous years via share buyback processshall be undertaken by the Ordinary General Meeting of Shareholders.Legalbasis: Article 38, section 1, point 11. of the Regulation of theMinistry of Finance of 19th of February, 2009 on current and periodicinformation provided by issuers of securities and conditions forrecognizing as equivalent information required by the laws of anon-member state.
