(translation of Polish version)title:Orange Polska and T-Mobile Polska have agreed to commencenegotiations on access to Orange Polska's fibre network.

Pursuant to Article 17(1) of the Regulation (EU) No. 596/2014 of theEuropean Parliament and of the Council of 16 April 2014 on market abuse(market abuse regulation) and repealing Directive 2003/6/EC of theEuropean Parliament and of the Council and Commission Directives2003/124/EC, 2003/125/EC and 2004/72/EC, the Management Board of OrangePolska S.A. ("Orange Polska") announces about the start of negotiationsbetween Orange Polska and T-Mobile Polska.

Orange Polska and T-Mobile Polska have agreed to commence negotiationson access to Orange Polska's fibre network.

On 19 December 2017, Orange Polska and T-Mobile Polska (T-Mobile) havesigned a letter of intent in which they agreed to commence negotiationson terms and conditions of telecommunications access in the form ofBitstream Access ("BSA") granted by Orange Polska to T-Mobile withinnon-regulated framework.

In the potential co-operation Orange Polska could offer wholesale accessto broadband on fibre infrastructure for T-Mobile's clients inmulti-family houses (without right for further wholesale resale) inderegulated areas. According to the main commercial assumptions T-Mobilewill pay to Orange Polska:

· an upfront fee covering access to multi-family houses with B2C,·broadband monthly fee per each active customer,· an installation feeper connection of each broadband line.

The parties have agreed to conclude negations by June 30th, 2018. Theoutcome of the negotiation will be announced in a form of a separatecurrent report.

Entering into wholesale co-operation will contribute to bettermonetization of Orange Polska investments in the fibre network, maximizeusage of Orange Polska infrastructure and accelerate convergence oftelecom services in the Polish market.
