Subject: Motion of Management Board on dividend
Current Report No. 12/2018
The Management Board of Pfleiderer Group S.A. (hereinafter the"Company") informs about adopting at May 11, 2018 a resolution on amotion of the Management Board to General Meeting of Shareholdersconcerning distribution of the Company's profit for business year 2017amounting to PLN 415,542 thousand.
The Management Board recommends assigning PLN 71,164,888.80 for paymentof the dividend amounting to 1.20 PLN per one share and assigningremaining part of the profit to Company's supplementary capital.
The Company holds 5,396,933 treasury shares. Pursuant to Article 364Paragraph 2 of the Commercial Companies Code the Company shall notreceive any dividends as the holder of the above mentioned treasuryshares.
The report was prepared on the basis of Article 17 section 1 of theRegulation (EU) No 596/2014 of the European Parliament and of theCouncil of 16 April 2014 on market abuse (market abuse regulation) andrepealing Directive 2003/6/EC of the European Parliament and of theCouncil and Commission Directives 2003/124/EC, 2003/125/EC and2004/72/EC (Dz. U. UE L 173/1 on 12 July 2014).
