The Management Board of CIECH S.A. (the“Company”)herewith informs that on 28 January 2019, the Extraordinary Meeting ofthe Company appointed MrMarek Kośnikasa new member of the Supervisory Board of the Company.

Mr Marek Kośnik’s CV

A graduate of the Faculty of Management at theUniversity of Warsaw and MBA studies at Harvard Business School.

Mr Marek Kośnik works in a private equity fund – CVCCapital Partners – as a Senior Managing Director with responsibility forassessing investment projects, supervising the portfolio andimplementing digital strategies. In the past, he worked for suchcompanies as Bain & Company, Terra Firma Capital Partners and McKinsey &Company. He has gained experience in building company strategies,investment processes, restructuring and digital transformations. Aninvestor in ​​new technologies projects.

According to the submitted declaration, Mr MarekKośnik does not conduct any activity in competition to CIECH S.A.; hedoes not participate in a company competitive to CIECH S.A. as a partnerin a registered partnership, general partnership or as a member of agoverning body of a company with a share capital, or as a member of agoverning body in any other competitive legal entity. He has not beenentered in the Register of Insolvent Debtors maintained pursuant to theAct on the National Court Register of 20 August 1997.

According to the submitted declaration, Mr MarekKośnik meets the criteria of independence within the meaning of Annex IIto Recommendation of the European Commission 2005/162/EC of 15 February2005.
