Current Report No. 2/2019Date: 14 March 2019Legal basis: Article56.1 (2) of the Act on Offering - current and periodic informationTopic:Conversion of some series A preferred registered shares into series Bbearer sharesContent:The Warsaw Stock Exchange ("Company","Exchange") Management Board informs that, acting at the request ofshareholder of the Company pursuant to Article 334.2 and 341.1 of theCode of Commercial Companies and § 4.2-3 of the Company's Articles ofAssociation, on 14 March 2019 it adopted a resolution concerning theconversion of 7,000 (seven thousand) series A preferred registeredshares into series B ordinary bearer shares.The Company'sArticles of Association impose no limitations on conversion ofregistered shares into bearer shares. Upon conversion, converted sharesbecome ordinary bearer shares and are designated as series B shares.Theshare capital of the Company is 41.972.000 (in words: forty one millionnine hundred seventy two thousand) and is divided into 41.972.000 (inwords: forty one million nine hundred seventy two thousand) shares witha nominal value of PLN 1 (one) each, including after replacement:14.772.470registered series A shares, privileged: 1) in such a way that there aretwo votes for each share, and 2) in the manner specified in § 9 (4)point 2) of the Company's Articles of Association;27.199.530ordinary B series bearer shares.The conversion of series Apreferred registered shares into series B ordinary bearer shares resultsin a change of the number of votes conferred by the Company's shares asfollows: all shares of the Company will jointly confer 56,744,470 votesat the General Meeting, i.e., 29,544,940 votes conferred by series Ashares preferred by each share conferring two votes and 27,199,530shares conferred by series B shares.It is the intention of theExchange Management Board to admit and introduce series B sharesoriginating from the conversion to exchange trading.Legal basis:§ 5.(2) of the Regulation of the Minister of Finance of 29 March 2018 oncurrent and periodic information provided by issuers of securities andon conditions under which information required by legal regulations of athird country may be recognised as equivalent.
