The Management Boardof ENERGA SA ("Company") hereby reports that on 15 April 2019 it decidednot to recommend to the General Meeting of ENERGA SA payment of dividendfor the financial year ended 31 December 2018. The entire net profit for2018 amounting to PLN 495 002 271,26 will be transferred to thesupplementary capital.

The above decision isreasoned by the implementation of the "Strategy of the ENERGA Group for2016-2025" ("Strategy") adopted on 15 November 2016 (Current Report No.40/2016), pursuant to which the dividend payment policy is adapted tothe financial needs of the investment process.

However, theManagement Board does not rule out the possibility of reverting topayment of dividend to the shareholders which level will be determinedby the implementation of the Strategy.
