Statement

on compliance with applicable laws relating to the establishment and operations of the Audit Committee acting at the Supervisory Board of Pfleiderer Group S.A.

The Supervisory Board of Pfleiderer Group S.A. with its registered office in Wrocław (the "Company") declares that the Company complies with the regulations related to the establishment, composition and operations of the Audit Committee, including those related to compliance by the members of Audit Committee with independence criteria and the requirements regarding their knowledge and skills in the sector, in which the Company operates, as well as regarding accounting and auditing of financial statements.

The Supervisory Board of the Company declares that during 2018 financial year, as well as during a period between 1 January 2019 and the date of this statement, the Audit Committee acting at the Supervisory Board of the Company was performing its tasks provided by the applicable laws.
