INFORMATION FROM THE MANAGEMENT BOARD OF CIECH S.A. PREPARED ON THE BASIS OF THE REPRESENTATION OF THE SUPERVISORY BOARD OF CIECH S.A. ON THE QUALIFIED AUDITOR OF FINANCIAL STATEMENTS

The Management Board of CIECH S.A. represents that the qualified auditor of financial statements was selected in compliance with the applicable laws and that:

• the audit firm and the members of the audit team met the conditions necessary to issue an impartial and independent audit report on the annual financial statements in accordance with applicable laws, professional standards, and principles of professional ethics,
• the Company complies with the applicable laws governing the rotation of audit firms and lead auditors as well as with the mandatory cooling-off periods,
• the Company has in place a policy governing the selection of audit firms and a policy on the provision of additional non-audit services by audit firms, their related parties or members of their networks to CIECH S.A., including services that are conditionally exempt from the prohibition on the provision of services by an audit firm.

The qualified auditor of the financial statements of CIECH S.A. and consolidated financial statements of the CIECH Group for 2018 is PricewaterhouseCoopers Polska Spółka z ograniczoną odpowiedzialnością Audyt sp.k.
