Subject: Delegating the chairman of the Supervisory Board to temporarilyperform the duties of the president of the Management Board of theCompany

The Management Board of Pfleiderer Group S.A. (the "Company") announcesthat on 21 May 2019, the Company's Supervisory Board adopted aresolution authorising the delegation of Mr Zbigniew Prokopowicz,chairman of the Company's Supervisory Board, to temporarily perform theduties of the president of the Management Board of the Company. MrProkopowicz was delegated to the Management Board for a period startingfrom 1 June 2019 until the moment of the appointment by the Company'sSupervisory Board of a new president of the Management Board, but notlonger than until 31 August 2019.

Mr Prokopowicz is a graduate of Paris-Dauphine University and an MBAgraduate of Paris Institute of Political Studies. He also studied at theMain School of Planning and Statistics (at present the Warsaw School ofEconomics). From 2008 to 2016 Mr Prokopowicz was the president of themanagement board of Polenergia SA. In the years 2004-2008 he held theposition of chairman of the supervisory board of Polenergia SA. From2004 to 2007 he performed the function of chairman of the supervisoryboard of Opoczno SA. And in the period 2005-2008 he was the chairman ofthe supervisory board of DGS S.A. and the president of its managementboard. He has managed companies in a variety of industries, e.g.automotive, paper, packaging and energy. Prior to joining Polenergia SA,he was the president of the management board of Mondi Packaging (AngloAmerican Plc) in Poland as well as in Great Britain.

Mr Zbigniew Prokopowicz is not engaged in any activities competitive tothe business of the Company. He is not a partner in any partnershipunder civil law or other type of partnership, or a member of a governingbody of a commercial company or any other legal entity which conductsactivities competitive to the Company's business. Mr Prokopowicz has notbeen entered in the Register of Insolvent Debtors maintained pursuant tothe National Court Register Act.
