The Management Board of Pfleiderer Group S.A. (the "Company") herebyinforms that on 20 March 2019 the Supervisory Board of the Company inconnection with completion of the term of office of the Management Boardand expiration of the mandates of present members of the ManagementBoard decided to appoint with effect on a date of the Ordinary GeneralMeeting of Shareholders of the Company approving the financialstatements of the Company for 2018 financial year:
Mr. Frank Hermmann to the Management Board of the Company as the Memberof the Management Board (Chief Operating Officer)
Mr. Nico Reiner to the Management Board of the Company as the Member ofthe Management Board (Chief Financial Officer)
Mr. Stefan Zinn to the Management Board of the Company as the Member ofthe Management Board (Chief Commercial Officer)
Dr. Frank Herrmann graduated Industrial engineering at TechnicalUniversity of Darmstadt, Germany. He obtained Dr. engineer title at theTechnical University of Clausthal-Zellerfeld. Dr. Frank Herrmann in 2017was holding position of Chief Operating Officer in URSA Insulation S.A.one of the major insulation providers in Europe. In a period 2008-2016Dr. Frank Herrmann was holding high managerial positions in Braas MonierBuilding Group. Previously, Dr. Frank Herrmann worked in Bain & CompanyInc, Gemini Consulting GmbH and PricewaterhouseCoopers. Dr. FrankHerrmann since 01.05.2019 holds position of Member of the Company’sManagement Board (Chief Operating Officer).
Dr. Frank Herrmann is not engaged in any activities competitive to thebusiness of the Company. He is not a partner in any partnership undercivil law or another type of partnership, or a member of a governingbody of an incorporated company or any other legal entity, which wouldconduct activities competitive to the Company's business. Dr. FrankHerrmann has not been entered in the Register of Insolvent Debtorsmaintained pursuant to the National Court Register Act.
Dr. Reiner (born in 1969) graduated business administration at theUniversity Regensburg, Germany. He obtained PhD title at the HHL –Leipzig Graduate School of Management. Since 2014 Dr. Reiner has beenworking as the CFO of AL-KO Kober SE, Germany, a globally active companyspecialized in vehicle technology, garden technology and air technology.Dr. Reiner has been holding a position of Member of Management Board,CFO of holding company of AL-KO Kober Group. In a period 2005 – 2014 Dr.Reiner was working as the CFO, Member of the Executive Board of SchuecoInternational KG, a worldwide leading supplier of building envelopes,active in the market of windows, doors and facades. Earlier Dr. Reinerwas working on managerial positions for Droege & Comp. GmbH,International Management Consultancy. Dr. Reiner since 01.04.2018 holdsposition of Member of the Company’s Management Board (Chief FinancialOfficer).
Dr. Nico Reiner is not engaged in any activities competitive to thebusiness of the Company. He is not a partner in any partnership undercivil law or another type of partnership, or a member of a governingbody of an incorporated company or any other legal entity, which wouldconduct activities competitive to the Company's business. Dr. NicoReiner has not been entered in the Register of Insolvent Debtorsmaintained pursuant to the National Court Register Act.
Mr. Stefan Zinn graduated business administration at the BavarianJulius-Maximilian University of Würzburg, Germany.
Since 2013 Mr. Stefan Zinn has been working for Pfleiderer Group insales managerial positions. From 2017 Mr. Zinn was responsible forexport sales in Core West of Pfleiderer Group and from 2018 for overallsales in Core West. Since January 2019 Mr. Zinn has been holding theposition of Chief Commercial Officer responsible in particular for salesin Core West, export sales and marketing.
In a period 1994-2012 Mr. Stefan Zinn was working on various managerialpositions (among others as Director of Sales, Marketing and Strategy andChief Financial Officer) in Neschen AG, Bückeburg leading producer ofdigital print media and self-adhesive products. In a period 1991-1994Mr. Stefan Zinn was working in family-owned consulting firm Rolf Zinn &Partner Unternehmensberatung GmbH. Mr. Stefan Zinn since 01.05.2019holds position of Member of the Company’s Management Board (ChiefCommercial Officer)
Mr. Stefan Zinn is not engaged in any activities competitive to thebusiness of the Company. He is not a partner in any partnership undercivil law or another type of partnership, or a member of a governingbody of an incorporated company or any other legal entity, which wouldconduct activities competitive to the Company's business. Mr. StefanZinn has not been entered in the Register of Insolvent Debtorsmaintained pursuant to the National Court Register Act.
