# Avviso integrativo su emissione e inizio delle negoziazioni del prestito obbligazionario fungibile, e da consolidarsi, con il prestito obbligazionario denominato "€290,500,000 4.625 per cent. Bonds due 21 June 2029"

## Messa a disposizione della determina di emissione

Tamburi Investment Partners S.p.A. ("TIP" - tip.mi), gruppo industriale indipendente e diversificato quotato al segmento Euronext STAR Milan di Borsa Italiana S.p.A., che investe nelle eccellenze imprenditoriali, facendo seguito al comunicato del 9 giugno 2025, rende noto che in data odierna sono state emesse le obbligazioni relative al prestito obbligazionario non convertibile, *unrated*, non subordinato e non garantito (il "Prestito Obbligazionario") per un ammontare complessivo pari a euro 110 milioni.

Dalla data odierna le obbligazioni sono negoziate sul mercato regolamentato Mercato Telematico delle Obbligazioni (MOT) organizzato e gestito da Borsa Italiana S.p.A. nonché sul mercato regolamentato *(Regulated Market)* dell'Official List dell'Irish Stock Exchange – Euronext Dublin. La negoziazione avviene con il codice ISIN temporaneo XS3078563874 (l'"ISIN Temporaneo") fino alla conversione automatica dell'ISIN Temporaneo ed il consolidamento del Prestito Obbligazionario nel prestito obbligazionario denominato "€290,500,000 4.625 per cent. Bonds due 21 June 2029" (ISIN XS2799786848) (il "Prestito Obbligazionario Originario") che avverrà non prima di 40 giorni.

A seguito della conversione dell'ISIN Temporaneo le obbligazioni di nuova emissione saranno fungibili con le obbligazioni relative al Prestito Obbligazionario Originario attualmente in circolazione.

# Notice on issue and start of trading of the fungible bond, to be consolidated, with the bond denominated "€290,500,000 4.625 per cent. Bonds due 21 June 2029"

#### Bonds issue resolution made available

Tamburi Investment Partners S.p.A. ("TIP" – tip.mi), an independent and diversified industrial group listed on the Euronext STAR Milan segment of Borsa Italiana S.p.A., which invests in excellent entrepreneurial companies, following the press release dated 9 June 2025, hereby announces today the issuance of the non-convertible, unrated, unsubordinated and unsecured bonds (the "Bonds") for an aggregate principal amount of Euro 110 million.

Starting from today, the Bonds have commenced to trading on the regulated market Mercato Telematico delle Obbligazioni (MOT), organized and managed by Borsa Italiana S.p.A., as well as on the Regulated Market of the Official List of the Irish Stock Exchange – Euronext Dublin. The trading occurs under the temporary ISIN code XS3078563874 (the "Temporary ISIN") until the Temporary ISIN is automatically converted and the Bonds are consolidated with the bonds denominated "€290,500,000 4.625 per cent. Bonds due 21 June 2029" (ISIN XS2799786848) (the "Original Bonds"), which will take place no earlier than 40 days after today.

Following the conversion of the Temporary ISIN, the newly issued Bonds will become fungible with the Original Bonds currently outstanding.
