Subject: Information regarding a proceeding against Pfleiderer BaruthGmbH, a subsidiary of Pfleiderer Group S.A.

RB 31/2019

The Management Board of Pfleiderer Group S.A. (the “Company”) herebyinforms of the issuance by the District Court of Düsseldorf in Germany(the “District Court”) of a ruling in a court proceeding between W.Classen GmbH & Co. KG (“Classen”), as the plaintiff, and PfleidererBaruth GmbH (“Pfleiderer Baruth”), as the defendant, in which Classen isseeking damages from Pfleiderer Baruth in the amount of EUR55,438,486.00 (plus interest) due to anticompetitive price collusionregarding wooden raw material products, including uncoated and coatedchipboard as well as MDF and HDF panels that were sold by PfleidererBaruth to Classen and its subsidiaries, which proceedings were initiatedby Classen on 20 December 2012.

On 9 August 2019, the District Court issued its ruling pursuant to whichit determined that Pfleiderer Baruth is liable towards Classen on themerits of the claim. Based on general economic experience District Courtheld that the actions attributable to Pfleiderer Baruth likely causeddamages to Classen. The District Court has not yet decided on thequantum of the claim and will determine the amount of damages payable byPfleiderer Baruth to Classen – if any – in separate proceedingsregarding quantum. The Company will issue further announcement as soonas the District Court determines the amount of damages to be paid byPfleiderer Baruth. Pfleiderer Baruth disagrees with the ruling on themerits of the District Court and is analysing the grounds of the ruling.Following the completion of such analysis, Pfleiderer Baruth will decideas to whether to appeal the ruling.

The Company has not made provisions for the potential damages to be paidin relation to the Classen case.

This report was prepared pursuant to Article 17 Section 1 of Regulation(EU) No. 596/2014 of the European Parliament and of the Council of 16April 2014 on market abuse (market abuse regulation) and on repealingDirective 2003/6/EC of the European Parliament and of the Council andCommission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
