TheManagement Board of XTPL S.A. (the "Issuer" or the "Company")hereby makes public the forecast number of patent applications that theCompany intends to prepare and file to obtain effective internationalprotection for its technology.

In theopinion of the Management Board, securing intellectual and industrialproperty in the form of a constantly expanded patent cloud is currentlythe key factor contributing to the Company's value and its businessposition in the ongoing commercialization process.

TheManagement Board expects the Company to file 26 patent applications inthe period from 1 September 2019 to 31 December 2020.

Thisforecast is based on:

- plansconnected with development and commercialization of the technology inthe first selected application fields: displays and smart glass;-assumptions regarding the Company's organizational development in thetechnology and business areas;-development of XTPL's core printing technology.

In theopinion of the Management Board, for a hard tech company (like theIssuer), effectively protected intellectual and industrial property is aproduct and can constitute a source of competitive advantage - and itssafe commercialization is possible provided it is fully protected inselected international markets.

TheManagement Board believes that the high level of intellectual andindustrial property protection will ensure the Company appropriatebargaining position before the first commercial contracts are signedwith selected partners.

For theabove reasons, the Management Board of the Company has decided thatattaining the forecast number of patent filings may have a significantimpact on assessment of the prospect of commercialization of thetechnology for various application fields, and thus on the Company'srevenue position and long-term growth. Appropriate protection of thetechnology developed by the Issuer and consistent expansion of thepatent cloud is aimed at ensuring achievement of key interests of XTPL,which fits with the development strategy pursued by the Company and mayaffect the valuation of the Issuer by investors.

In theopinion of the Issuer's Management Board, the above may be consideredmaterial information about the Issuer that would probably be taken intoaccount by stock investors in their investment decisions, notably asregards assessment of the fundamental factors affecting the Company'svalue and the Company's revenue generation potential and time frames.For this reason, in the opinion of the Management Board, thisinformation meets the criteria of inside information within the meaningof Article 7(1) MAR.
