NOTICE ON INDIRECT ACQUISITION OF SHARES AND EXCEEDING THE THRESHOLD

ZAWIADOMIENIE O POŚREDNIM NABYCIU AKCJI I PRZEKROCZENIU PROGU

Pursuant to Article 69 and 69a of the Act of 29 July 2005 on Public Offering, the Conditions Governing the Intrduction of Financial Instruments to Organised Trading and on Public Companies ("the Act on Public Offering") acting on behalf of Yifan Pharmaceutical Co., Ltd("YiFan"), I signed underneath, Deqi Feng, hereby give notice of indirect acquisition of shares in Bioton S.A. with its registered office in Warsaw, the Republic of Poland ("the Company") and exceeding the 25% of voting rights in the Company.

Na podstawie art. 69 oraz 69a ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych ("Ustawa o Ofercie") działając w imieniu Yifan Pharmaceutical Co., Ltd ("YiFan"), ja niżej podpisany, Degi Feng, niniejszym zawiadamiam o pośrednim nabyciu akcji Bioton S.A. z siedzibą w Warszawie ("Spółka") i przekroczeniu 25% ogólnej liczby głosów.

As a result of acquisition of all of shares of Dongren Singapore PTE. LTD ("Dong Ren") with its seat in Singapore and Perfect Trend Ventures Limited ("Perfect Trend") with its seat in British Virgin Islands by Yifan on October 30™, 2019, YiFan became a dominant entity towards:

• Dong Ren and consequently acquired 16,989,289 shares of the Company, which constitutes 19.79% of the share capital of the Company and entitle the holder to 16,989,289 votes at the general meeting of the Company, which constitute 19.79% of the total number of votes in the Company, directly held by Dong Ren, and
• Perfect Trend and consequently acquired 10,186,419 shares of the Company, which constitutes 11.86% of the share capital of the Company and entitle the holder to 10,186,419 votes at the general meeting of the Company, which constitute 11.86% of the total number of votes in the Company, directly held by Perfect Trend ("the Indirect Acquisition").

W wyniku transakcji nabycia wszystkich udziałów w Dongren Singapore PTE. LTD ("Dong Ren") z siedzibą w Singapurze i Perfect Trend Ventures Limited ("Perfect Trend") z siedzibą na Brytyjskich Wyspach Dziewiczych w dniu 30 października 2019 r. YiFan stał się podmiotem dominującym w stosunku do:

• Dong Ren, i w konsekwencji pośrednio nabył 16.989.289 akcji Spółki, stanowiących 19.79% kapitału zakładowego i uprawniających do 16.989.289 głosów na walnym zgromadzeniu akcjonariuszy, co stanowi 19,79% ogólnej liczby głosów na walnym zgromadzeniu akcjonariuszy, oraz;
• Perfect Trend, a i w konsekwencji pośrednio nabył 10.186.419 akcji Spółki, stanowiących 11.86% kapitału zakładowego i uprawniających do 10.186.419 głosów na walnym zgromadzeniu akcjonariuszy, co stanowi 11,86% ogólnej liczby głosów na walnym zgromadzeniu akcjonariuszy ("Pośrednie Nabycie").

Prior to the Indirect Acquisition YiFan held no shares of the Company, directly or indirectly.

Przed Pośrednim Nabyciem YiFan nie posiadał akcji Spółki, ani bezpośrednio ani pośrednio.

After the Indirect Acquisition YiFan hold indirectly 27,175,708 shares of the Company which constitutes 31.65% of the share capital of the Company and entitle to 27,175,708 votes at the general meeting of the Company which constitute 31.65% of the total number of votes in the Company.

Po Pośrednim Nabyciu YiFan posiada pośrednio 27.175.708 akcji Spółki, które stanowią 31.65% kapitału zakładowego Spółki i uprawniają do 27.175.708 głosów na walnym zgromadzeniu akcjonariuszy Spółki, co stanowi 31.65% ogólnej liczby głosów na walnym zgromadzeniu akcjonariuszy Spółki.

YiFan has no subsidiaries, other than Dong Ren and Perfect Trend, that hold shares in the Company.

YiFan nie posiada podmiotów zależnych, innych niż Dong Ren i Perfect Trend, które byłyby właścicielami akcji Spółki.
