The Management Board of XTPL S.A. ("Company", "Issuer") announces thattoday a Memorandum of Understanding ("MoU") has been signed with HPKInc. based in South Korea (the "Partner"), one of the main suppliers ofdevices for repairing open defects in displays for the Korean companyLG. The MoU sets out the parties' main business goals related to apotential commercial contract. In addition, the parties' intentionexpressed in the document is to start a cooperation, with the engagementof both partners, to sign a license agreement on a solution forrepairing open defects in displays.
The MoU will terminate automatically if the license agreement is notsigned within nine months of the Mou date.
In the opinion of the Company's Management Board the signing of the MoUis to be considered inside information because it opens the door tonegotiations on a license agreement, which, if signed, may have asignificant impact on the Issuer's future revenue position.
