The Management Board of Energa SA with its registered office in Gdańsk(the "Company") informs that on 28 January 2020 it adopted, pursuant toArticle 80 of the Act of 29 July 2005 on Public Offering and the Termsof Introduction of Financial Instruments to an Organized Trading Systemand on Listed Companies, a position regarding a call to subscribe to thesale of shares in the Company announced by POLSKI KONCERN NAFTOWY ORLENS.A. on 5 December 2019 (the "Call").

The Management Board's position regarding the Call, together with thefairness opinion of Deloitte Advisory spółka z ograniczonąodpowiedzialnością spółka komandytowa on the financial terms of theCall, is enclosed hereto.
