Szanowni Państwo,

Ja, niżej podpisany, działając na podstawie art. 69 ust. 1 pkt 2 oraz art. 69 ust. 2 pkt 2 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych ("Ustawa") niniejszym zawiadamiam, iż w dniu 31 stycznia 2020 r., w wyniku rozliczenia transakcji sprzedaży akcji Spółki zawartych w dniu 29 stycznia 2020 r. w ramach procesu przyśpieszonej budowy księgi popytu akcji Ten Square Games S.A. ("Spółka"), ("Rozliczenie ABB"), zbyłem 651.712 akcji Spółki reprezentujących łącznie ok. 9,00% kapitału zakładowego Spółki oraz uprawniających do 651.712 głosów na walnym zgromadzeniu Spółki, stanowiących ok. 9,00% ogólnej liczby głosów na walnym zgromadzeniu Spółki.

Bezpośrednio przed rozliczeniem 2.852.500 akcji Spółki reprezentujących łącznie ok. 39,39% kapitału zakładowego Spółki oraz uprawniających do 2.852.200 głosów na walnym zgromadzeniu Spółki, stanowiących ok. 39,39% ogólnej liczby głosów na walnym zgromadzeniu Spółki.

Bezpośrednio po Rozliczeniu ABB posiadam 2.200.788 akcji Spółki reprezentujących łacznie ok. 30,39% kapitału zakładowego Spółki oraz uprawniających do 2.200.788 głosów na walnym zgromadzeniu Spółki, stanowiących ok. 30,39% ogólnej liczby głosów na walnym zgromadzeniu Spółki.

Dodatkowo informuję, że:

• l ) nie posiadam podmiotu zależnego (w rozumieniu Ustawy), który posiadałby akcje Spółki;
• 2) nie jestem stroną umowy, o której mowa w art. 87 ust. 1 pkt 3 lit. c Ustawy, tj. umowy, której przedmiotem jest przekazanie uprawnienia do wykonywania prawa głosu;
• 3) nie posiadam instrumentów finansowych, o których mowa w art. 69b Ustawy, w związku z czym łączna suma liczby głosów, o której mowa w art. 69 ust. 4 pkt 9 Ustawy oraz jej procentowy udział w ogólnej liczbie głosów odpowiadają wartościom wskazanym powyżej (trzeci akapit niniejszego pisma); oraz

4) - jestem stroną porozumienia z dnia [21] października 2019 r. w rozumieniu art. 87 ust. 1 pkt 5 Ustawy zawartego z Arkadiuszem Pernalem, Rafałem Vogt, Konradem Słabigiem, Miłoszem Kordeckim oraz Wojciechem Gattnerem ("Porozumienie") - odpowiednie zawiadomienie dot. zmiany stanu posiadania akcji Spółki przez strony Porozumienia na podst. art. 69 ust. 1 pkt 2 oraz art. 69 ust. 2 pkt 2 w zw. z art. 87 ust. 1 pkt 5 Ustawy, w tym objęte niniejszym zawiadomieniem, zostanie złożone odrębnie w dniu dzisiejszym do Spółki i do Komisji Nadzoru Finansowego również w imieniu osób działających w Porozumieniu.
