Działając w imieniu EFF B.V. z siedziba w Maastricht, Kruisdonk 66, 6222 PH Maastricht, Holandia zarejestrowanym w holenderskim rejestrze handlowym pod numerem 71581979, na podstawie art. 69 ust. 2 pkt. 2) ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (t.j. Dz. U. 2019.623; zm .: Dz. U. 2019.2217.) ["ustawa o ofercie") zawiadamiamy, że EFF B.V. z siedzibą w Maastricht nabył 222 267 akcji PRIME MINERALS S.A. z siedzibą w Grodzisku wpisanej Mazowieckim do do rejestru przedsiębiorców Krajowego Rejestru Sądowego pod nr KRS: 0000426498 ("Spółka"), stanowiących 3,70% udziału w kapitale zakładowym Spółki dającym prawo 222 267 głosów, co stanowi 3,70 % w ogólnej liczbie głosów na Walnym Zgromadzeniu Spółki.

Acting in the name of EFF B.V. with its registered office at Kruisdonk 66, 622 PH Maastricht, The Netherlands registered in the Dutch trade register under the number 71581979, pursuant to Article 69 of the Act of the 29th July, 2005 on public offering and conditions of introduction of financial instruments into an organized trading system and on public companies (uniform text Journal of Laws of 2019.623; as amended) (the Act on public offering) we hereby notify that EFF B.V. seated in Maastricht acquired 222 267 shares of Prime Minerals S.A. seated in Grodzisk Mazowiecki, registered in the polish trade register of the National Court Register under the number of 0000426498 ("the Company") representing 3,70% of the Company's share capital, giving 222 267 votes, representing 3,70% votes at the total votes at the Company's General Meeting.

The total share capital held by EFF B.V. is 4 162 900 shares of the Company, representing 69,34% of the Company's share capital, giving the right to 4 162 900 votes, representing 69,34% votes at the total votes at the General Meeting of Prime Minerals S.A.
The event that changes the share: the settlement on the 10th February 2020 of the sales transaction concluded on the NewConnect alternative trading system.
Before the event causing the change of share EFF B.V. held 3 940 633 shares of the Company, representing 65,64% of the Company's share capital, giving 3 940 633 votes, representing 65,64% votes at the total votes at the General Meeting of the Company.
In additional I inform that no subsidiaries of EFF B.V. holds any shares in the share capital of the Company. EFF B.V. has not entered into any agreement with any third party of the transfer of rights to exercise the voting rights from the shares of the Company, so there is no persons referred to in Article 87, paragraph 1 point 3 letter c) of the Act on public offering.
