The Supervisory Board of KGHM Polska Miedź S.A. declares that:

• a) KGHM Polska Miedź S.A. complies with rules regarding the appointment, composition and functioning of the Audit Committee, including those in respect of meeting independence criteria by its members and requirements in respect of knowledge and skills in the sector in which KGHM Polska Miedź S.A. operates, and with respect to accounting and auditing financial statements.
• b) The Audit Committee carried out the tasks provided for by the applicable regulations.
