REPRESENTATION OF THE SUPERVISORY BOARD OF CIECH S.A. PREPARED ON THE BASIS OF § 70(1)(8) IN CONNECTION WITH § 70(1)(7) AND § 71(1)(8) IN CONNECTION WITH § 70(1)(7) OF THE REGULATION OF THE MINISTER OF FINANCE ON CURRENT AND PERIODICAL INFORMATION SUBMITTED BY ISSUERS OF SECURITIES AND ON CONDITIONS FOR DEEMING EQUIVALENT INFORMATION REQUIRED BY THE LAW OF A NON-MEMBER STATE

REPRESENTATION ON THE AUDIT COMMITTEE

The Supervisory Board of CIECH S.A. represents that the Company complies with the regulations governing the appointment, composition, and operation of the Audit Committee, including those concerning the fulfilment by the Audit Committee members of the criteria of independence and the requirements relating to knowledge and skills relevant for the industry in which CIECH S.A. operates, as well as knowledge of accounting or auditing of financial statements.

Moreover, the Supervisory Board of CIECH S.A. represents that the Audit Committee of the Supervisory Board of CIECH S.A. performed the tasks defined in the applicable regulations.

REPRESENTATION ON THE POLICY FOR SELECTION OF AN AUDIT FIRM

The Supervisory Board of CIECH S.A. represents that:

• 1. It selected PricewaterhouseCoopers Polska Spółka z ograniczoną odpowiedzialnością Audyt sp.k. as an audit firm to audit the annual financial statements of CIECH S.A. and the CIECH Group in accordance with the applicable laws, including with those pertaining to the selection and the procedures for selection of an audit firm.
• 1. The audit firm and the members of the audit team met the conditions necessary to issue an impartial and independent audit report on the annual financial statements of CIECH S.A. and the CIECH Group in accordance with applicable laws, professional standards, and principles of professional ethics.
• 1. CIECH S.A. complies with the applicable laws governing the rotation of audit firms and lead auditors as well as with the mandatory cooling-off periods.
• 1. CIECH S.A. has in place a policy governing the selection of audit firms and a policy on the provision of additional nonaudit services by audit firms, their related parties or members of their networks to CIECH S.A., including services that are conditionally exempt from the prohibition on the provision of services by an audit firm.
