Subject: Changes in the composition of Energa SA Supervisory Board

Legal basis: Article 56 section 1 item 2 of the Act on Offerings -current and periodic information

The Management Board of Energa SA ("Company") informs that theExtraordinary General Meeting of the Company - acting pursuant to § 18section 2 of the Company's Articles of Association - on 22 April 2020adopted resolutions on:

1) dismissal of Mr. Marek Szczepaniec from the Supervisory Board of thefifth joint term of office,

2) appointment of Mr. Trajan Szuladziński to the Supervisory Board ofthe fifth joint term of office.

Below the Company presents information about the appointed Member of theSupervisory Board of the Company.

Mr. Trajan Szuladziński - Member of the Supervisory Board of Energa SA

A graduate of the Faculty of Law, in 2009 he obtained the title ofMaster of Business Administration at postgraduate studies conducted bythe University of Gdańsk and the Business Center Club and RSM ErasmusUniversity as a validation institution. In 2004, he obtained the titleof tax advisor. He is a court-appointed expert at the Regional Court inWarsaw in the field of accounting, finance and book-keeping. Between08/2017 and 11/2019, he was the President of the Management Board atGrupa Azoty Kopalnie i Zakłady Chemiczne Siarki Siarkopol SA -responsible for the financial, accounting and legal division, as well asmining and railway plant.

Between 2006 and 2007, he was the President of the Management Board ofBankowe Towarzystwo Kapitałowe SA - a private equity company dealing incapital investments in the sector of small and medium enterprises. From2007 to 2008, he was a Vice-President responsible for the finance andaccounting division at Centrum Finansowe Puławska sp. z o.o. (a companydealing in management of and investment in real estate). Between 2008and 2010, he was a Deputy Director in the Office of the President of theNational Bank of Poland.

Chairman or member of the supervisory boards of such companies as: GrupaAzoty Kopalnie i Zakłady Chemiczne Siarki Siarkopol SA, ZakładyChemiczne "Zachem" SA, Agencja Inwestycyjna CORP SA, Konsorcjum OchronyKopalń sp. z o.o., Finder SA, PL Energia sp. z o.o., Management Board ofPałac Kultury i Nauki sp. z o.o., Holding Wars SA.

He wrote articles and studies on tax law, and lectured in tax law, amongothers during notary applications.

Mr. Trajan Szuladziński is not engaged in any form of business activitycompetitive to Energa SA, does not participate in a competitive companyor partnership, as a partner of a civil law partnership, a partnershipor as a member of a company body and does not participate in any othercompetitive legal person as a member of its body as well as he is notlisted in the Register of Insolvent Debtors maintained under theNational Register Court Act.
