Proposal to the Annual General Meeting of Shareholders of CIECH S.A., including justification for the distribution of net profit for 2019

The Management Board of CIECH S.A. herewith submits its proposal to the Annual General Meeting of Shareholders of CIECH S.A. to allocate the net profit earned by the Company in 2019, in the amount of PLN 60,436,467.46 (in words: sixty million four hundred thirty six thousand four hundred sixty seven 46/100 zlotys), entirely to the supplementary capital.

At the same time, the Management Board of CIECH S.A. requests the Supervisory Board of CIECH S.A. to issue a positive assessment of the proposal to the Annual General Meeting of Shareholders of the Company regarding the allocation of profit for 2019, in accordance with the above recommendation of the Management Board of the Company.

The recommendation of the Management Board of CIECH S.A. regarding the allocation of net profit for 2019 to the supplementary capital is the result of an analysis and assessment of the current and future financial situation of the Company, liquidity of the CIECH Group, related to securing and adjusting the corporate financing structure to both implemented and planned development and environmental investments, and is also related to the implementation of the strategic objectives specified in the Strategy of the CIECH Group for 2019-2021.
