Subject: Information from the Minister of State Assets on the sale ofall Energa SA shares

Legal basis: Art. 70 item 1 of the Act on Offerings - purchase or saleof a considerable equity stake

The Management Board of Energa SA ("Company") informs that on 20 May2020 it received a notification from the Minister of State Assets,submitted pursuant to Article 69 of the Act on Public Offering,Conditions Governing the Introduction of Financial Instruments toOrganized Trading and on Public Companies, according to which:

1) The State Treasury represented by the Minister of State Assets, as aresult of a response to the tender offer announced by PKN ORLEN S.A. on5 December 2019 to subscribe for the sale of all shares issued by EnergaSA as well as the settlement of the purchase of shares covered bysubscriptions, on 30 April 2020 it sold all possessed shares of EnergaSA;

2) Prior to the sale the State Treasury held 68,398,317 ordinary bearershares and 144,928,000 preferred registered shares, i.e. a total of213,326,317 shares representing 51.52% of the share capital and358,254,317 votes at the General Meeting of the Company representing64.09% of votes in the total number of votes;

3) Currently the State Treasury holds 0 shares representing 0% of theshare capital and 0 votes at the General Meeting of the Companyrepresenting 0% of votes in the total number of votes.
