John Russell Houlden (born in 1959) has a first class honours degreefrom Warwick Business School and has completed executive programmes atINSEAD, Stanford and London Business School. He is a Fellow of theChartered Institute of Management Accountants (CIMA), a Chartered GlobalManagement Accountant (CGMA) and a Fellow of the Association ofCorporate Treasurers (ACT).

He gained extensive experience in accounting and audit in a variety offinancial roles in Spicer & Oppenheim (now part of Deloitte), ICI andBT. Next, he served as Finance Director of Lovells (2002 to 2008) andChief Financial Officer of Telecom New Zealand (2008 to 2010) and UnitedUtilities (2010-20). Furthermore, from 2014 to 2020 he was a Member ofthe Main Committee and the Chairman of the Financial Reporting Committeeof the ‘100 Group’, which represents FTSE 100 to the InternationalAccounting Standards Board, the European Securities and MarketsAuthority and other regulatory bodies. Since April 2020 he has also beena Non-executive Director of Babcock International Group and from July2020 he will become the Chairman of its Audit & Risk Committee.

Member of the Orange Polska Supervisory Board and Chairman of the AuditCommittee since April 10, 2014. On June 17, 2020 the Supervisory Boardre-appointed him as the Chairman of the Audit Committee.

According to his statement, Mr. John Russell Houlden is not engaged inany activities competitive to the business of Orange Polska and is not apartner in any partnership under civil law or another type ofpartnership, or a member of a governing body of any incorporated companyor any other legal entity which would be competitive to Orange Polska.Mr. John Russell Houlden is not listed in the Register of InsolventDebtors maintained pursuant to the National Court Register Act.

Patrice Lambert-de Diesbach (born in 1956) is a graduate of SFAF (FrenchSociety of Financial Analysts), Conservatoire National des Arts etMétiers (Finance), IEP Paris (Sciences Po) and from Université Paris XNanterre (Economics, Econometrics).

Since October 2011, Patrice Lambert-de Diesbach is Head of InvestorRelations and Financial Communication at Orange. Prior to this he wasHead of Investor Relations and Financial Communication at Carrefoursince April 2010. He previously worked as the Head of Research at CM-CICSecurities after spending 18 years as a financial analyst covering awide range of industrial sectors for several stock broking firms,including CM-CIC Securities, Exane BNP Paribas, UBS Warburg, DeutscheBank and HSBC James Capel. He started his career as an auditor at Mazarsand KPMG.

He is Board Member at CLIFF (French Society of Investor Relations), andex Board Member of Confrontations Europe and SFAF and ex Board Member &Strategic Committee Member at Orange Belgium.

Member of the Orange Polska Supervisory Board and Member of the StrategyCommittee since July 13, 2016. On June 17, 2020 the Supervisory Boardre-appointed him as a member of the Strategy Committee.

According to his statement, Mr. Patrice Lambert-de Diesbach is notengaged in any activities competitive to the business of Orange Polskaand is not a partner in any partnership under civil law or another typeof partnership, or a member of a governing body of any incorporatedcompany or any other legal entity which would be competitive to OrangePolska. Mr. Patrice Lambert-de Diesbach is not listed in the Register ofInsolvent Debtors maintained pursuant to the National Court Register Act.

On the same day, the Supervisory Board made the following changes to theCommittees of the Supervisory Board:

• Mr. Jean-Marc Vignolles replaced Mr.Thierry Bonhomme in theRemuneration Committee

• Mr.Thierry Bonhomme has been appointed as a member of the StrategyCommittee.
