Current Report No. 11/2020Date: 19 June 2020Subject: Changesto the draft resolution of the Ordinary General Meeting of the WarsawStock Exchange convened for 22 June 2020Legal basis: Article56.1(2) of the Act on Public Offering - current and periodic informationContentof the report:Further to the Current Report 10/2020 from 26 May2020, The Warsaw Stock Exchange ("Company", "GPW" ) announces that inconnection with proposed amendments to the enclosure to a draftresolution of the General Meeting convened on 22 June 2020, receivedfrom the Company's shareholder - the State Treasury, the GPW ManagementBoard has decided to amend the draft resolution concerning matters underagenda point 19 of the Annual General Meeting: Approval of the Policy ofRemuneration of Members of the Management Board and the SupervisoryBoard of the Warsaw Stock Exchange.Justification:Inconnection with amendments to the Policy of Remuneration of Members ofthe Management Board and the Supervisory Board of the Warsaw StockExchange proposed by the State Treasury, § 8(4), § 10(5)(1) and (2), §17(2) and § 21(7) of the Policy have been amended.The proposedamendments are a consequence of resolutions of the General Meetingconcerning the terms and conditions of setting the remuneration ofMembers of the Management Board and the Supervisory Board of the WarsawStock Exchange adopted in the past years in accordance with the Act of 9June 2016 on the Terms and Conditions of Setting the Remuneration ofManagers of Certain Companies. The amendments aim, in principle toensure consistency of the Company's corporate documents.Thedraft resolution and the attachment are enclosed to the current report.Legalbasis: § 19.1 (4) of the Regulation of the Minister of Finance of 29March 2018 on current and periodic information provided by issuers ofsecurities and on conditions under which information required by legalregulations of a third country may be recognised as equivalent.
