NOTICE OF POSTAL BALLOT & E-VOTING INFORMATION

Notice is hereby given pursuant Section 110 read with Section 108 and other applicable provisions, if any, of the Companies Act, 2013 ("the Act") read with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014 ("the Rules"), Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, General Circular nos. 14/2020 dated April 08, 2020, 17/2020 dated April 13, 2020, 22/2020 dated June 15, 2020, 33/2020 dated September 28, 2020, 39/2020 dated December 31, 2020, 10/2021 dated June 23, 2021, 20/2021 dated December 08, 2021, 03/2022 dated May 5, 2022 and 11/2022 dated December 28, 2022 issued by the Ministry of Corporate Affairs ("MCA circulars"), and Secretarial Standard - 2 on General Meetings issued by The Institute of Company Secretaries of India, and all other applicable laws, rules and regulations, the approval of the members is being sought for the resolutions set out in the Postal Ballot Notice dated May 24, 2023, only by way of remote e-voting process. Pursuant to the MCA Circulars, the Company has completed the mailing of Postal Ballot Notice on Thursday, June 01, 2023, only through electronic mode to all eligible Members of the Company, whose email addresses are registered with their Depository Participant / Company's Registrar & Share Transfer Agent ("RTA") M/s. KFin Technologies Limited ("KFin") and whose names are recorded in the Register of Members of the Company or in the list of Beneficial Owners maintained by the Depositories as on Friday, May 26, 2023 ("Cut-off date"). The Postal Ballot Notice is also available on the website of the Company i.e. www.63moons.com and the websites of the Stock Exchanges i.e. www.bseindia.com and www.nseindia.com and also on the website of KFin at https://evoting.kfintech.com.

The right of voting is reckoned on the basis of the said cut-off date and any person who is not a Member on the cut-off date should treat the notice for information purposes only. The Board of Directors of the Company has appointed Mr. B. Narasimhan (FCS No. 1303), Proprietor, M/s. BN & Associates, Company Secretaries, Mumbai or failing him, Mr. Avinash Bagul (FCS No. 5578) or failing him, Mr. K. Venkataraman (ACS No. 8897), partners of M/s. BNP & Associates, Practicing Company Secretaries, Mumbai as Scrutinizer for conducting / scrutinizing the Postal Ballot e-voting process in a fair and transparent manner.

The Company has engaged the services of KFin for providing remote e-voting facility to the Members, enabling them to cast their vote electronically. The detailed procedure for evoting is enumerated in the Postal Ballot Notice. The remote e-voting period commences from Friday, June 02, 2023 (09:00 a.m. onwards IST) till Saturday, July 01, 2023 (upto 05:00 p.m. IST). E-voting will not be allowed after 05:00 p.m. on Saturday, July 01, 2023 and the e-voting module shall be disabled by KFin thereafter. Communication of assent or dissent of the Members would only take place through the remote e-voting system.

Members who have not yet registered e-mail address are requested to register the same in the following manner:

• Members holding shares in demat form can get their e-mail ID registered by contacting their respective Depository Participant.
• Members holding shares in physical form can get their e-mail ID registered by contacting Company's RTA on their e-mail id einward.ris@kfintech.com.

The Company has also enabled the process of temporary registration of e-mail ID for this postal ballot. Members may get their email ID registered by accessing the following link: https://ris.kfintech.com/clientservices/postalballot/registration.aspx

The results of the Postal Ballot alongwith the Scrutinizer's report will be declared on Tuesday, July 04, 2023 and the same shall be notified to the Stock Exchanges where the shares of the Company are listed and also displayed on the website of the Company i.e. www.63moons.com and on the website of KFin i.e. https://evoting.kfintech.com. The results shall also be displayed on the Notice Board at the Registered Office and Corporate Office of the Company.
