Sub: Raising of funds by our wholly owned subsidiary M/s. 63SATS Cybertech Limited (63SATS)

On the captioned subject matter, pursuant to the applicable Regulations of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that our subsidiary M/s. 63SATS Cybertech Limited has raised an amount aggregating to Rs. 10.62 crores through private placement of 10.62 crores equity shares of face value of Re.1/- each, at par.

Subsequent to the above allotment, 63SATS ceases to be the subsidiary of the Company. However, the Management control of 63SATS remains with 63 moons technologies limited, as per the Articles of Association of the Company.

63 moons hold 6,000 Partly-Paid Zero Coupon Unsecured Optionally Fully Convertible Debentures (ZOFCD's) of FV Rs. 1,00,000/- each amounting to Rs. 60 crores. Upon full payment and conversion of the said ZOFCD’s into Equity shares, 63 moons shall hold 60 crore equity shares of FV Re. 1/- each.
