Sub: Update — NTT Data acquisition of 55.35% stake in Atom Technologies Ltd (`ATOM) from 63 moons,achieves closure and 63 moons continue to hold –36% stake in ATOM as agreed.

Thisisfurther to our letter dated November 27, 2018, on the captioned subjectmatter.

We are pleased to inform that 63 moons technologies limited, has completed all the stipulations, applicable before closing, given in NCLAT order dated 22n dJuly 2019for thesale ofits55.35%stake in ATOM, a subsidiary of the Company, for an aggregate considerationofUSD 9.24 million to NTT Data Corporation, Japan.

Further, as per the terms of the Share Purchase Agreement dated 27th November2018,63moons received a sum of US\$ 8.83 million and USD 0.41 million has been deposited in the Escrow account. The funds received by 63 moons shall be utilised in the manner and for the purpose as statedinthe NCLAT order.

Wewould like to emphasise that the stake sale has been completed by strictly adheringtothe NCLAT stipulations and as perthebest international practices. Post all closing activities, 63 moons shall continue to hold –36% stake as agreed and will have one-third representation on the Boardof ATOM to contribute in the future growth prospects and business strategy of ATOM.

The shares of ATOM Technologies held by 63 moons, which were attached under the MPIDAct, were released as per Hon'ble Bombay High Court Order dated 24 1October 2018, read with Order dated 5th December 2018 passed in WP No. 1181 of 2018. The said Order was upheld by the Hon'bleSupreme Court vide Order dated28thJanuary 2019. Thereafter, Hon'ble NCLAT, vide Order dated22ndJuly 2019, specifically allowed 63 moons technologies limited to sell its stakein ATOM Technologies Limited.
