Dear Sirs / Madam,
Sub: Board of 63 moons approves its participation to the One Time Settlement Scheme (OTS) as proposed by NSEL Investors Forum (“NIF”)
In furtherance to our communication dated 15.12.2024 and pursuant to the applicable Regulations of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we inform that the Board of Directors in its meeting held on 18.02.2025 approved the participation and support of the Company to the Scheme of Arrangement between NSEL and the Traders.
The Scheme of Arrangement will be filed by NSEL before the National Company Law Tribunal, Mumbai (“NCLT”) which, as per the legal advice is the most appropriate forum considering the interest of entire ecosystem (every party involved) to achieve the Settlement.
This participation will, inter alia , entail:
- Closure of legal proceedings against the Company as provided in the Scheme and;

- an assignment of all claims / rights of the Traders of NSEL to the Company so as to claim recoveries from the Defaulters and others whether through decrees, liquidation of attached assets or otherwise.
