Pursuant to the applicable regulations of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, please be informed that the Board of Directors of the Company, at its meeting held today, i.e., 20th May 2025 inter-alia transacted the following items of business:

• a. Approved the Audited Standalone and Consolidated Financial Results for the F.Y. ended 31[st] March, 2025;

• b. Recommended a Final Dividend of Rs. 1.20/- per share (Face Value Rs. 2/- each) for the F.Y. ended 31[st] March, 2025, the payment of which is subject to approval of the shareholders at the forthcoming Annual General Meeting and appropriate judicial orders;.

• c. Approved the appointment of M/s BNP & Associates, Practicing Company Secretaries as Secretarial Auditor for a term of five consecutive years commencing from F.Y. 2025-26 upto F.Y. 2029-30, subject to the approval of the shareholders of the Company.

• d. Approved the appointment of Mr. Maheswar Sahu (DIN:00034051) as Additional (NonExecutive) Director of the Company.
