Referring to ESPI Current Report No. 17/2020, the Management Board ofXTPL S.A. (the "Issuer") announces that today (3 July 2020), theregistry court registered amendments to and the consolidated text of theArticles of Association of XTPL S.A in connection with resolutions No.04/06/2020, 05/06/2020 and 06/06/2020 of the Issuer's ExtraordinaryGeneral Meeting of Shareholders of 8 June 2020 (the "EGM").

The amendments to the Articles of Association relate to:

- the conditional capital (§5a, §5b and §5c) - pursuant to EGMResolution No. 04/06/2020 of 8 June 2020;

- adaptation of the Articles of Association to the content of Article90hh-90l of the Act on Public Offering (§ 18(3)(6) and (7)) - pursuantto EGM Resolution No. 05/04/0202 of 8 June 2020.

The content of the existing and new provisions of the Articles ofAssociation and the text of the consolidated Articles of Association aregiven in appendices hereto.
