Pursuant to Article 17(1) of the Regulation (EU) No. 596/2014 of theEuropean Parliament and of the Council of 16 April 2014 on market abuse(market abuse regulation) and repealing Directive 2003/6/EC of theEuropean Parliament and of the Council and Commission Directives2003/124/EC, 2003/125/EC and 2004/72/EC, the Management Board of OrangePolska S.A. ("Orange Polska") announces the initiation of the review ofoptions for the project described below.
Orange Polska initiated a review of options for potential partnershipinto further fibre rollout through co-controlled vehicle (FiberCo)
Contemplating big market potential and interest for further rollout ofFTTH network in Poland and significant value-creation potential, OrangePolska launched a review of related options with the following keycharacteristics:
1. Creating a FiberCo vehicle to rollout an FTTH access network to about1.7 million households connectable in Poland focused predominantly onareas without fast broadband infrastructure.
2. Contribution by Orange Polska of about 0.6 million of its existingFTTH footprint (assumed to include wholesale access for about 0.15million clients) to the FiberCo.
3. Granting an open access to this network to Orange Polska and otheroperators.
4. Using Orange Polska as FiberCo's main industrial partner for networkroll-out, delivery, maintenance and connectivity.
5. Sale by Orange Polska of a co-controlling stake of the FiberCo to aninvestor.
Orange Polska would like to point that these are preliminary projectparameters, which may evolve during the process.
