38/2020 Registration of changes to the Company's StatuteRegulatory filingManagement Board of Agora S.A. with its registered seat in Warsaw ("Company", "Agora") informs that it has learned about the registration by the District Court for the Capital City of Warsaw in Warsaw, XIII Commercial Division of the National Court Register, on 1 October, 2020, changes to the Statutes of Agora, made pursuant to resolution no. 22 of the Ordinary General Meeting of the Company, adopted on 25 June, 2020, with the following wording:Resolution No. 22Pursuant to Art. 430 § 1 of the Commercial Companies Code, the General Meeting resolves to amend the Company's Statutes as follows:"§ 19 section 2 point i)" expressing consent for the Company to exercise voting rights in a specific manner at shareholders' meetings or general meetings of subsidiaries of the Company within the meaning of the Act on Public Offering and implementing acts issued on its basis in the event of voting on resolutions concerning remuneration or benefits referred to in point g) of this section, "shall read as follows:"§ 19 section 2 point i)" expressing consent for the Company to exercise voting rights in a specific manner at shareholders' meetings or general meetings of subsidiaries of the Company within the meaning of the Act on Public Offering and implementing acts issued on its basis in the event of voting on resolutions concerning remuneration or benefits referred to in point f) of this section.
