The Management Board of XTPL S.A. (the "Issuer") announces that on 5November 2020 Extraordinary General Meeting of Shareholder of the Issuerappointed Mr. Andrzej Domański as the Issuer's Supervisory Board DeputyChairman.

Mr. Andrzej Domański has a university degree (master of economy andholds CFA title) and for many years held managerial functions (includingon management boards).

Career:

October 2016 - September 2019 Member of the Management Board of EquesInvestment TFI, responsible for the Capital Markets Department, fundmanagement, preparation of macroeconomic and stock market analyses

September 2014 - July 2016 Head of the Fund Management Department atNoble Funds TFI, responsible for coordinating the work of thedepartment, supervising other managers, and working on new products.

April 2010 - September 2014 Portfolio Manager at Noble Funds TFI,responsible for managing the Noble Equity Fund, Stable Growth Fund Plus,Timing Noble Fund and Noble Fund Global Return.

June 2008 - March 2010 Equity Portfolio Manager at KBC TFI, responsiblefor making allocation decisions, company selection and building modelportfolios.

May 2007 - June 2008 Stock market dealer - Head of Execution Office atKBC TFI, responsible for concluding transactions on the equity market,supervising the execution of orders, maintaining relations withbrokerage houses and development of procedures for a newly establishedunit (Dealing Desk).

April 2006 - May 2007 Sector Analyses Specialist at the BPH EconomicAnalyses Office, responsible for monitoring and preparing reports on thesituation in the liquid fuels, gas, metals and property sectors.

November 2005 -March 2006 Specialist in the Investor Relations Office atPKO BP, responsible for preparing reports and presentations on theBank's results, and information materials for investors, as well as forcontacts with investors and analysts.

April 2005 Intern at the BPH International Markets Division(Macroeconomic Analyses Office), responsible for preparing a specialreport on the convergence path of nominal interest rates and assistingin the preparation of daily reports.

March 2005 Intern at the Department of Financial Policy, Analyses andStatistics of the Ministry of Finance. Analysing the Polish economymodel and the state of preparations for entry into the euro zone.

December 2002 - December 2004 Financial assistant in the CopyrightDepartment at the ZNAK Social Publishing Institute. Responsible forfinancial settlements, preparation and negotiation of contracts, anddealing with authors.

Mr. Andrzej Domański does not conduct any competitive activity inrelation to the Issuer and does not participate in a competitive companyas a partner in a civil law partnership or partnership, as a shareholderin a capital company or as a member of a body of a competitive legalperson.

Mr. Andrzej Domański is not entered in the Register of Insolvent Debtorsmaintained pursuant to the National Court Register Act.
