KOREKTA ZAWIADOMIENIA / AMENDMENT OF THE NOTIFICATION

Waldemar Preussner działając w imieniu własnym, a Ulrike Warnecke i Alfred Pelzer działając w imieniu PCC SE z siedziba w Duisburgu ("PCC SE"), stosownie do przepisów art. 69 ust. 2 pkt 2) oraz art. 69a ust. 1 pkt 3) ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i i warunkach warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (tekst jednolity z dnia 25 listopada 2020 r., Dz.J. z 2020 r. poz. 2080, dalej "Ustawa") z związku z omyłkowym pominięciem w zawiadomieniu z dnia 10 grudnia 2020 r. ("Notyfikacja") transakcji zbycia łącznie 11.550 akcji PCC EXOL S.A. z siedzibą w Brzegu Dolnym ("PCC EXOL") na rynku regulowanym, które to transakcje nie rodziły obowiązku zawiadomień wynikających z Ustawy oraz nie zmieniły udziału PCC SE w ogólnej liczbie głosów wskazanego w Notyfikacji, niniejszym korygujemy złożoną Notyfikację i zawiadamiamy, że w wyniku:

• transakcji zbycia łącznie 11.550 akcji PCC EXOL w okresie od 25 kwietnia 2017 r. do 9 czerwca 2017 r. ("Transakcja 0");
• ll. rejestracji w dniu 30 maja 2019 r. podwyższenia kapitału zakładowego PCC EXOL o kwotę 165.227 złotych w związku z wydaniem 165.227 akcji zwykłych na okaziciela serii F ("Podwyższenie"), oraz

Waldemar Preussner acting on his own behalf and Ulrike Warnecke and Alfred Pelzer acting on behalf of PCC SE with its registered office in Duisburg ("PCC SE"), in accordance with article 69 section 2 point 2 and article 69a section 1 point 3 of the Act of July 29, 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies (consolidated text dated 25 November, 2020, Polish Journal of Laws from 2016, item 2080, hereinafter the "Act"), due to a mistaken omission in the notification of December 10, 2020 ("Notification") of the sale transactions a total of 11,550 shares of PCC EXOL S.A. with its registered office in Brzeg Dolny ("PCC EXOL") on the regulated market, which did not give rise to the obligation of notification under the Act and did not change the share of PCC SE in the total number of votes indicated in the Notification, we hereby correct the submitted Notification and notify that as a consequence of:

• 1. sale a total of 11,550 shares of PCC EXOL in the period between April 25, 2017 and a June June -9, 2017 ("Transaction 0"),
• 1. registration on May 30, 2019 of the share capital increase of PCC EXOL, by PLN 165,227, in connection with the issue of 165,227 F series
• III. transakcji nabycia przez PCC SE akcji zwykłych na okaziciela PCC EXOL zawartych na rynku regulowanym:
• 1. w okresie 2 grudnia 2019 r. 20 lutego 2020 r. w. ramach, których PCC SE nabyła łącznie 747.260 akcji ("Transakcja 1");
• 1. w dniu 16 października 2020 r. w ramach, której PCC SE nabyła 1.098.000 akcji ("Transakcja 2");
• 1. w dniu 7 grudnia 2020 r. w ramach, której nabyła 1.109.000 akcji ("Transakcja 3");

udział procentowy PCC SE i pośrednio Waldemara Preussnera w ogólnej liczbie głosów na Walnym Zgromadzeniu PCC EXOL zwiększył się z 91,76% do 92,70%.

Przed Transakcją 0, PCC SE (a pośrednio Waldemar Preussner) posiadała akcje PCC EXOL:

• 1. 124.066.000 akcji imiennych uprzywilejowanych co do głosu, które stanowiły 71,93% udziału w kapitale zakładowym PCC EXOL oraz 248.132.000 głosów na walnym zgromadzeniu PCC EXOL, co stanowiło 83,67% w ogólnej liczbie głosów;
• 1. 11.257.143 zwykłych akcji imiennych, które stanowiły 6,53% udziału w kapitale zakładowym РСС EXOL oraz 11.257.143 głosów na walnym zgromadzeniu PCC EXOL, co stanowiło 3,80% w ogólnej liczbie głosów;
• 1. 12.722.173 akcji zwykłych na okaziciela, które stanowiły 7,38% udziału w kapitale zakładowym PCC EXOL Oraz 12.722.173 głosów na walnym zgromadzeniu PCC EXOL, co stanowiło 4,29% w ogólnej liczbie głosów.

łącznie PCC SE (a pośrednio Waldemar Preussner) posiadała 148.045.316 akcji PCC EXOL, które stanowiły 85,83% udziału w kapitale zakładowym PCC EXOL oraz 272.111.316 głosów na walnym zgromadzeniu PCC EXOL, które stanowiły 91,76% w ogólnej liczbie głosów.

Po Transakcji 0, która nie doprowadziła do zmiany udziału PCC SE (a pośrednio Waldemara Preussnera) w ogólnej liczbie głosów na walnym zgromadzeniu PCC EXOL o co najmniej 1% i nie rodziło obowiązku zawiadomień wynikających z Ustawy, a przed Podwyższeniem, PCC SE posiadała akcje PCC EXOL:

ordinary bearer shares ("Increase") and

• 1. transactions of purchase of ordinary bearer shares in PCC EXOL by PCC SE on the regulated market:
• 1. in the period between December 2, 2019 and February 20, 2020, whereby PCC SE acquired a total of 747,260 shares ("Transaction 1");
• 1. on October 16, 2020, whereby PCC SE acquired 1,098,000 shares ("Transaction 2");
• 1. on December 7, 2020, whereby PCC SE acquired 1.109.000 shares ("Transaction 3");

the percentage share of PCC SE and indirectly -Waldemar Preussner, in the total number of votes at the General Meeting of PCC EXOL, increased from 91.76% to 92.70%.

Prior to Transaction 0, PCC SE (and Waldemar Preussner indirectly) held shares of PCC EXOL:

• 1. 124,066,000 registered shares with preference as to voting rights which constituted 71.93% share in the share capital of PCC EXOL and 248,132,000 votes at the General Meeting of PCC EXOL which constituted 83.67% in the total vote:
• 1. 11,257,143 ordinary registered shares which constituted 6.53% share in the share capital of PCC EXOL and 11,257,143 votes at the General Meeting of PCC EXOL which constituted 3.80% in the total vote:
• 1. 12,722,173 ordinary bearer shares which constituted 7.38% share in the share capital of PCC EXOL and 12,722,173 votes at the General Meeting of PCC EXOL which constituted 4.29% in the total vote.

• PCC SE (and Waldemar Preussner indirectly) held in total 148,045,316 shares of PCC EXOL which constituted 85.83% share in the share capital of PCC EXOL and 272,111,316 votes at the General Meeting of PCC EXOL which constituted 91.76% in the total vote.

After Transaction 0. which did not lead to a change in the percentage share of PCC SE (and indirectly Waldemar Preussner) in the total number of votes at the General Meeting of PCC EXOL by at least 1% and did not give rise to the notification obligation under the Act, and before Increase, PCC SE held shares of PCC EXOL:

• 1. 124.066.000 akcji imiennych uprzywilejowanych co do głosu, które stanowiły 71,93% udziału w kapitale zakładowym PCC EXOL oraz 248.132.000 głosów na walnym zgromadzeniu PCC EXOL, które stanowiły 83,67% w ogólnej liczbie głosów:

Po Podwyższeniu, które nie doprowadziło do zmiany udziału PCC SE (a pośrednio Waldemara Preussnera) w ogólnej liczbie głosów na walnym zgromadzeniu PCC EXOL o co najmniej 1% i nie rodziło obowiązku zawiadomień wynikających z Ustawy, a przed Transakcją 1, PCC SE posiadała akcje PCC EXOL:

• 1. 124.066.000 akcji imiennych uprzywilejowanych co do głosu, które stanowiły 71,86% udziału w kapitale РСС zakładowym EXOL oraz 248.132.000 głosów na walnym zgromadzeniu PCC EXOL, które stanowiły 83,63% w ogólnej liczbie głosów;
• 1. 11.257.143 zwykłych akcji imiennych, które stanowiły 6,52% udziału w kapitale zakładowym PCC EXOL oraz głosów 11.257.143 na walnym zgromadzeniu PCC EXOL, co stanowiło 3,79% w ogólnej liczbie głosów;

• PCC SE (and Waldemar Preussner indirectly) held in total 148.033.766 shares of PCC EXOL which constituted 85.82% share in the share capital of PCC EXOL and 272,099,766 votes at the General Meeting of PCC EXOL which constituted 91.75% in the total vote.

After the Increase, which did not lead to a change in the percentage share of PCC SE (and indirectly Waldemar Preussner) in the total number of votes at the General Meeting of PCC EXOL by at least 1% and did not give rise to the notification obligation under the Act, and before Transaction 1, PCC SE held shares in PCC EXOL:

• 1. 124,066,000 registered shares with preference as to voting rights which constituted 71.86% share in the share capital of PCC EXOL and 248,132,000 votes at the General Meeting of PCC EXOL which constituted 83.63% in the total vote.
• 1. 11,257,143 ordinary registered shares which constituted 6.52% share in the share capital of PCC EXOL and 11,257,143 votes at the General Meeting of PCC EXOL which constituted 3.79% in the total vote;
• 1. 12.710.623 ordinary bearer shares which constituted 7.36% share in the share capital of PCC EXOL and 12,710,623 votes at the General Meeting of PCC EXOL which constituted 4.28% in the total vote.

• łącznie PCC SE (a pośrednio Waldemar Preussner) posiadała 148.033.766 akcji PCC EXOL, które stanowiły 85,74% udziału w kapitale zakładowym PCC EXOL oraz 272.099.766 głosów na walnym zgromadzeniu PCC EXOL, które stanowiły 91,70% w ogólnej liczbie głosów.

Po Transakcji 1, która nie doprowadziła do zmiany udziału PCC SE (a pośrednio Waldemara Preussnera) w ogólnej liczbie głosów na walnym zgromadzeniu PČC EXOL o co najmniej 1% i nie rodziła obowiązku zawiadomień wynikających z Ustawy, a przed Transakcją 2, PCC SE posiadała akcje PCC EXOL:

• 1. 124.066.000 akcji imiennych uprzywilejowanych co do głosu, które stanowiły 71,86% udziału w kapitale zakładowym РСС EXOL oraz 248.132.000 głosów na walnym zgromadzeniu PCC EXOL, które stanowiły 83,63% w ogólnej liczbie głosów:
• 1. 11.257.143 zwykłych akcji imiennych, które stanowiły 6,52% udziału w kapitale zakładowym PCC EXOL oraz 11.257.143 głosów na walnym zgromadzeniu PCC EXOL, co stanowiło 3,79% w ogólnej liczbie głosów;
• 1. 13.457.883 akcji zwykłych na okaziciela. które stanowiły 7,79% udziału w kapitale zakładowym PCC EXOL oraz 13.457.883 głosów na walnym zgromadzeniu PCC EXOL, co stanowiło 4,54% w ogólnej liczbie głosów.

• łącznie PCC SE (a pośrednio Waldemar Preussner) posiadała 148.781.026 akcji PCC EXOL, które stanowiły 86,18% udziału w kapitale zakładowym PCC EXOL oraz 272.847.026 głosów na walnym zgromadzeniu PCC EXOL, które stanowiły 91,96% w ogólnej liczbie głosów.

Po Transakcji 2, która nie doprowadziła do zmiany udziału PCC SE (a pośrednio Waldemara Preussnera) w ogólnej liczbie głosów na walnym zgromadzeniu PCC EXOL o co najmniej 1% i nie rodziła obowiązku zawiadomień wynikających z Ustawy, a przed Transakcją 3, PCC SE posiadała akcje PCC EXOL:

1. 124.066.000 akcji imiennych uprzywilejowanych co do głosu, które stanowiły 71,86% udziału w kapitale zakładowym PCC EXOL oraz 248.132.000 głosów na walnym

2. PCC SE (and Waldemar Preussner indirectly) held in total 148,033,766 shares of PCC EXOL which constituted 85.74% share in the share capital of PCC EXOL and 272,099,766 votes at the General Meeting of PCC EXOL which constituted 91.70% in the total vote.

After Transaction 1, which did not lead to a change in the percentage share of PCC SE (and indirectly Waldemar Preussner) in the total number of votes at the General Meeting of PCC EXOL by at least 1% and did not give rise to the notification obligation under the Act, and before Transaction 2, PCC SE held shares in PCC EXOL:

• 1. 124,066,000 registered shares with preference as to voting rights which constituted 71.86% share in the share capital of PCC EXOL and 248,132,000 votes at the General Meeting of PCC EXOL which constituted 83.63% in the total vote.
• 1. 11,257,143 ordinary registered shares which constituted 6.52% share in the share capital of PCC EXOL and 11,257.143 votes at the General Meeting of PCC EXOL which constituted 3.79% in the total vote:
• 1. 13,457,883 ordinary bearer shares which constituted 7,79% share in the share capital of PCC EXOL and 13,457,883 votes at the General Meeting of PCC EXOL which constituted 4.54% in the total vote.

• PCC SE (and Waldemar Preussner indirectly) held in total 148,781,026 shares of PCC EXOL which constituted 86.18% share in the share capital of PCC EXOL and 272,847,026 votes at the General Meeting of PCC EXOL which constituted 91.96% in the total vote.

After Transaction 2, which did not lead to a change in the percentage share of PCC SE (and indirectly Waldemar Preussner) in the total number of votes at the General Meeting of PCC EXOL by at least 1% and did not give rise to the notification obligation under the Act, and before Transaction 3, PCC SE held shares in PCC EXOL:

Po Transakcji 3, PCC SE (a pośrednio Waldemar Preussner), posiada aktualnie akcje PCC EXOL:

• 1. 124.066.000 akcji imiennych uprzywilejowanych co do głosu, które stanowią 71,86% udziału w kapitale zakładowym PCC EXOL oraz 248.132.000 głosów na walnym zgromadzeniu PCC EXOL, które stanowią 83,63% w ogólnej liczbie głosów:
• 1. 11.257.143 zwykłych akcji imiennych, które stanowią 6,52% udziału w kapitale zakładowym PCC EXOL oraz 11.257.143 głosów na walnym zgromadzeniu PCC EXOL, co stanowi 3,79% w ogólnej liczbie głosów;
• 1. 15.664.883 akcji zwykłych na okazicieła, które stanowią 9,07% udziału w kapitale zakładowym РСС EXOL oraz 15.664.883 głosów na walnvm zgromadzeniu PCC EXOL, co stanowi 5,28% w ogólnej liczbie głosów.

łącznie PCC SE (a pośrednio Waldemar Preussner) posiada 150.988.026 akcji PCC EXOL, które stanowią 87,45% udziału w kapitale zakładowym PCC EXOL oraz 275.054.026 głosów na walnym zgromadzeniu PCC EXOL, które stanowią 92,70% w ogólnej liczbie głosów.

Żaden podmiot zależny od Waldemara Preussnera, za wyjątkiem PCC SE, nie posiada akcji PCC EXOL. Zaden podmiot zależny od PCC SE, nie posiada akcji PCC EXOL.

EXOL which constituted 83.63% in the total vote,

• 1. 11,257,143 ordinary registered shares which constituted 6.52% share in the share capital of PCC EXOL and 11,257,143 votes at the General Meeting of PCC EXOL which constituted 3.79% in the total vote;
• 1. 14,555,883 ordinary bearer shares which constituted 8.43% share in the share capital of PCC EXOL and 14,555,883 votes at the General Meeting of PCC EXOL which constituted 4.91% in the total vote.

• PCC SE (and Waldemar Preussner indirectly) held in total 149,879,026 shares of PCC EXOL which constituted 86.81% share in the share capital of PCC EXOL and 273,945,026 votes at the General Meeting of PCC EXOL which constituted 92.33% in the total vote.

After Transaction 3, PCC SE (and Waldemar Preussner indirectly) holds shares in PCC EXOL:

• 1. 124,066,000 registered shares with preference as to voting rights which constitute 71.86% share in the share capital of PCC EXOL and 248,132,000 votes at the General Meeting of PCC EXOL which constitute 83.63% in the total vote,
• 1. 11,257,143 ordinary registered shares which constitute 6.52% share in the share capital of PCC EXOL and 11,257,143 votes at the General Meeting of PCC EXOL which constitute 3.79% in the total vote;
• 1. 15,664,883 ordinary bearer shares which constitute 9.07% share in the share capital of PCC EXOL and 15,664,883 votes at the General Meeting of PCC EXOL which constitute 5.28% in the total vote.

• PCC SE (and Waldemar Preussner indirectly) holds in total 150,988,026 shares of PCC EXOL which constitute 87.45% share in the share capital of PCC EXOL and 275,054,026 votes at the General Meeting of PCC EXOL which constitute 92.70% in the total vote

None of Waldemar Preussner subsidiaries (except PCC SE) holds any shares of PCC EXOL. None of PCC SE subsidiaries holds any shares of PCC EXOL.

W przypadku Waldemara Preussnera oraz PCC SE nie występują osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c Ustawy.

Waldemar Preussner oraz PCC SE nie posiadaja instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 1 Ustawy, oraz instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 2 Ustawy.

W związku z powyższym Waldemar Preussner oraz PCC SE nie posiadają głosów z akcji wskazanych na podstawie art. 69 ust. 4 pkt 7) i 8) Ustawy, a w związku z tym, łączna suma liczby głosów, o której mowa w 69 ust. 4 pkt 9) Ustawy została wskazana powyżej.

In the case of Waldemar Preussner and PCC SE, there are no persons referred to in Article 87 section 1 point 3 of the Act.

Waldemar Preussner and PCC SE do not hold financial instruments mentioned in Art. 69b section 1 item 1 of the Act as well as financial instruments mentioned in Art. 69b section 1 item 2 of the Act.

In connection with the aforementioned, Waldemar Preussner and PCC SE do not hold any votes from shares indicated on the basis of Art. 69 section 4 point 7 and 8 of the Act, and therefore, the total number of votes referred to in 69 section 4 point 9 of the Act has been indicated above.
