The Management Board of Berg Holding S.A. based in Katowice [Company,Issuer] hereby informs that the following company NETSU S.A., theIssuer's subsidiary, concluded with MB Ventekonas UAD based in Kaunas,Lithuania [Buyer], a heat pump distribution agreement specifying generalterms and conditions of cooperation [Distribution Agreement].Fromthe date of conclusion of this contract until its terminationm the Buyershall act as a Distributor of heat pumps, storage tanks and buffersunder the trade name NETSU on the Lithuanian market. At the same timeBuyer declared to purchase at least one hunderd and fifty pumps unit in2021. Under the concluded agreement, either party may terminate theDistribution Agreement with six months notice. Other terms andconditions of the Distribution Agreement do not differ from thosecommonly used for this type of agreements.In the opinion of theManagement Board ot the Issuer, the information about the conclusion ofthe Distribution Agreement is confidential information due to the factthat its execution will have a significant impact on the financialrevenues of the Issuer's Capital Group.
