Incorporation of a subsidiary

The Board of Directors of Coal Energy S.A. (the "Company") hereby informs that a new company was incorporated within Coal Energy Group.

As part of business expansion a new company - LLC «Perspective resources» was incorporated in the structure of the Group.

The main purposes of LLC «Perspective resources» are:

• search for new deposits of coking coal with registration of mining licenses;

• study of business opportunities, related to other minerals (ore and other minerals, mining and chemical raw materials, etc.) with the subsequent registration of licenses for the extraction and development of deposits.

By diversifying its business, the Company plans to strengthen its position in the commodity markets and expand its scope of activities.

Legal grounds: Art.3 to 5 of the Luxembourg Law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market, and Art. 56 of the Act of 29 July 2005 on the public offering, conditions governing the introduction of financial instruments to organised trading system and on public companies.
