ANNOUNCEMENT 19/6/2025: BOARD OF DIRECTORS MEETING RESOLUTIONS

Mitsides Public Company Limited announces that the Board of Directors at its meeting held on 19 June 2025, examined, inter alia, the progress of the Group's operations. It also appointed Mr. Marios Loucaides as an Independent non-executive Member of the Board and as Member of the Board's Audit, Renumeration and Appointment Committees.

A brief CV of Mr Loucaides follows:

Marios Loucaides

Marios has a long and diversified management experience in commercial operations in fields such as FMCG distribution, HORECA, Tobacco, Cosmetics, Construction, Travel Retail, F&B, Automotive, Electrical Appliances, Technology and hands on experience ranging from sales and marketing to logistics and business systems. Marios' involvement in organizations that dealt with Advertising, Efficient Consumer Response, TV rating measurements, Toastmaster's debating club, Time-Out and Wiz best restaurants widened his experience.

Coming from a scientific background with a BSc in Maths and Physics (1st Class, UCL) and an MSc in Computer Science (Corpus Christi, Oxford), his career started lecturing at a college for two years (with the relevant enthusiasm on knowledge transfer kept him presenting in conferences, universities, schools and in his business engagement). He then spent 10 years in various functions in the computing industry, from software development to General Management. From 1994 he was with CTC group for 25 years, 14 of which as the CEO of the group.

In 2019 he decided to share his experience and knowledge and set up his own management advisory company SynPraxis Ltd, offering advisory services in the fields of business operation and specialised in family businesses and how to set up proper governance for the long-term success of their business.

He is Chairman of the BOD at Cosmos Insurance Plc, Biotronics Ltd and CYPET Ltd.
